Development Funding means all funds and resources (including all out-of-pocket costs, plus reasonable amounts for internal resources) expended by either party in the development efforts described herein, net of any amounts received from third parties (such as ▇▇▇ ▇▇▇▇▇ and Company) which are used for such expenditures. Such amounts shall include out-of-pocket expenses paid after the date of this Agreement under Sections 9.1 and 9.3 below.
