Developer Responsibility Termination definition

Developer Responsibility Termination means a termination of all or part of this Agreement by the Grantor:
Developer Responsibility Termination means a termination of this Agreement by the Grantor(or by a receiver appointed by a secured creditor of the Developer in respect of financing provided under the Phase 1A Financing Agreements and/or Phase 1B Financing Agreements, in the case of subclause (iii) below):

Examples of Developer Responsibility Termination in a sentence

  • If a Developer Responsibility Termination occurs in respect of this Agreement prior to Early Financial Close, the Grantor shall pay the Developer by way of compensation a capital sum calculated in accordance with Part 2.1 of Schedule 12.

  • If a Developer Responsibility Termination occurs in respect of this Agreement on or after Early Financial Close but prior to Financial Close 1A, the Grantor shall pay the Developer by way of compensation a capital sum calculated in accordance with Part 2.2 of Schedule 12.

  • In the event of a Developer Responsibility Termination before Early Finance Close, the cash balances held by the Developer would be transferred to the Grantor.

  • If a Developer Responsibility Termination occurs in respect of this Agreement on or after Financial Close 1A but prior to Financial Close 1B, the Grantor shall pay the Developer by way of compensation a capital sum calculated in accordance with Part 2.3 of Schedule 12.

Related to Developer Responsibility Termination

  • extended producer responsibility ’ (EPR) means responsibility of any producer of packaging products such as plastic, tin, glass, wrappers and corrugated boxes, etc., for environmentally sound management, till end-of-life of the packaging products ;

  • Customer Responsibilities means the responsibilities of the Customer set out in paragraph 6.1 of the Order Form;

  • Disability Termination means termination by the Company of the Executive’s employment by reason of the Executive’s incapacitation due to disability. The Executive will be deemed to be incapacitated due to disability if at the end of any month the Executive is unable to perform substantially all of the Executive’s duties under this Agreement in the normal and regular manner due to illness, injury or mental or physical incapacity, and has been unable so to perform for either (i) three consecutive full calendar months then ending, or (ii) 90 or more of the normal working days during the 12 consecutive full calendar months then ending. Nothing in this paragraph alters the Company’s obligations under applicable law, which may, in certain circumstances, result in the suspension or alteration of the foregoing time periods.

  • Servicer Termination Test With respect to any Distribution Date, the Servicer will fail the Servicer Termination Test if the Realized Loss Percentage for the Mortgage Loans exceeds the applicable percentages set forth below with respect to such Distribution Date: Distribution Date Occurring In Percentage January 2006 through December 2007 2.75% January 2008 through December 2008 3.25% January 2009 through December 2009 3.75% January 2010 and thereafter 4.50%

  • Potential Termination Event means an event which but for the lapse of time or the giving of notice, or both, would constitute a Termination Event.

  • Master Servicer Termination Test With respect to any Distribution Date, the Master Servicer Termination Test will be failed if the Cumulative Loss Percentage exceeds 4.00%.

  • Operating Advisor Termination Event means any one of the following events whether it shall be voluntary or involuntary or be effected by operation of law or pursuant to any judgment, decree or order of any court or any order, rule or regulation of any administrative or governmental body:
