DevCo Parent definition

DevCo Parent means, with respect to each Grantor, the “Credit Party” (as defined in the RBL Credit Agreement) that is party to the DevCo Parent Undertaking in respect of the applicable Grantor.
DevCo Parent means, at any time following the Second Amendment Effective Date when a DevCo exists, the Credit Party owning Equity Interests in the DevCo(s). For the avoidance of doubt, there shall be no more than one DevCo Parent hereunder.

Examples of DevCo Parent in a sentence

  • Each of the Parent, OP LLC and the Borrower shall cause OMS (and any other Credit Party that holds Equity Interests in any DevCo) to comply with the covenants contained in each DevCo Parent Undertaking, and shall cause any Credit Party that owns Equity Interests in a DevCo to become party to the applicable DevCo Parent Undertaking.

  • The Parent, OP LLC and the Borrower shall not permit OMS or any DevCo to amend, supplement or otherwise modify its certificate of formation, limited liability company agreement or any other organic document of any DevCo in any manner that would be adverse to the Lenders in any material respect or permit any DevCo to take any action that would violate the DevCo Parent Undertaking without the consent of OMS and any other Credit Party that owns Equity Interests in such DevCo.

  • The Administrative Agent shall have received from each party thereto duly executed counterparts (in such number as may be requested by the Administrative Agent) of (a) the Amended and Restated Intercreditor Agreement, (b) each DevCo Parent Undertaking, (c) releases of each DevCo RBL Guaranty Agreement and (d) releases of each DevCo RBL Mortgage, in each case, in form and substance satisfactory to the Administrative Agent.

  • Without limitation of any other provisions of this Agreement, each Grantor and DevCo Parent hereby acknowledges that it has read this Agreement and consents hereto, agrees that it will not take any action that would be contrary to the express provisions of this Agreement and agrees to abide by the requirements expressly applicable to it under this Agreement.

  • The Parent, OP LLC and the Borrower shall not permit any DevCo (or the DevCo Parent) to amend, supplement or otherwise modify the certificate of formation, limited liability company agreement or any other organic document of any DevCo in any manner that would (i) be adverse to the Lenders in any material respect or (ii) permit any DevCo to take any action that would violate the DevCo Parent Undertaking without the consent of the DevCo Parent.

  • Then the possibility of follow-up is confirmed and moreover tasking observations are possible without trailing loss.

  • Each Agent, on behalf of itself and each Claimholder represented by it, the DevCo Parent and each Grantor, agree that each of them shall take such further action and shall execute and deliver such additional documents and instruments (in recordable form, if requested) as any Agent may reasonably request to effectuate the terms of this Agreement.

  • To the extent a DevCo then exists, each of the Parent, OP LLC and the Borrower shall cause the DevCo Parent to comply with the covenants contained in each DevCo Parent Undertaking, and shall cause the DevCo Parent to become party to the applicable DevCo Parent Undertaking.

  • This Agreement, together with the other Credit Agreement Documents and the Midstream DevCo Collateral Documents, represents the entire agreement of each of the Grantors, the DevCo Parent, the Agents and the Claimholders with respect to the subject matter hereof and thereof and supersedes any and all previous agreements and understandings, oral or written, relating to the subject matter hereof and thereof.

  • Notwithstanding the foregoing, the Grantors and the DevCo Parent shall not have any right to consent to or approve any amendment, modification or waiver of any provision of this Agreement except to the extent their rights are adversely affected.

Related to DevCo Parent

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • Natural parent means a minor's biological or adoptive parent, and includes the minor's noncustodial parent.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Holdco has the meaning set forth in the Preamble.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • Holdings as defined in the preamble hereto.

  • Acquisition Subsidiary has the meaning specified in Section 7.14.

  • Merger Subsidiary shall have the meaning set forth in the preamble to this Agreement.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • MergerSub has the meaning set forth in the Preamble.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Merger Sub has the meaning set forth in the Preamble.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Constellation has the meaning assigned to that term in the Recitals.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • AcquisitionCo means Diebold Holding Germany Incorporated & Co. KGaA a German partnership limited by shares (Kommanditgesellschaft auf Aktien - KGaA) that is a Wholly Owned Restricted Subsidiary of the Company and whose general partner is the Company.

  • Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Seller Parent has the meaning set forth in the Preamble.

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • GP means Gottbetter & Partners, LLP.

  • CBC means the Collective Bargaining Committee

  • Acquisition Corp. shall have the meaning given to such term in the preamble to this Agreement.

  • Topco has the meaning set out in the Preamble;
