Designated Stock definition

Designated Stock means the Class A Common Stock, the Class C Common Stock and any other stock of the Corporation that is designated as “Designated Stock” from time to time pursuant to this Certificate of Incorporation or any Certificate of Designation.
Designated Stock means the shares of Common Stock listed next to each Charity in Schedule II hereto. For the purposes of the Registration Rights Instrument, the Designated Stock shall be deemed to be the Participating Stock, subject to such stock ceasing to be Participating Stock pursuant to the last sentence of Section 1(a) of the Registration Rights Instrument.
Designated Stock has the meaning set forth in Part 1.

Examples of Designated Stock in a sentence

  • If the Shares (or depositary receipts therefor) are listed or quoted on the Designated Stock Exchange, the Company shall conduct an appropriate review of all related party transactions on an ongoing basis and shall utilise the Audit Committee for the review and approval of potential conflicts of interest.

  • The composition and responsibilities of the Audit Committee shall comply with the rules and regulations of the Designated Stock Exchange, the Securities and Exchange Commission and/or any other competent regulatory authority or otherwise under Applicable Law.

  • Notice may also be served by Electronic Communication in accordance with the rules and regulations of the Designated Stock Exchange, the Securities and Exchange Commission and/or any other competent regulatory authority or by placing it on the Company’s Website.

  • Subject to the provisions of the Statute, and, where applicable, the rules and regulations of the Designated Stock Exchange, the Securities and Exchange Commission and/or any other competent regulatory authority or otherwise under Applicable Law, the Company may issue Shares that are to be redeemed or are liable to be redeemed at the option of the Member or the Company.

  • Each of these committees shall be empowered to do all things necessary to exercise the rights of such committee set forth in the Articles and shall have such powers as the Directors may delegate pursuant to the Articles and as required by the rules and regulations of the Designated Stock Exchange, the Securities and Exchange Commission and/or any other competent regulatory authority or otherwise under Applicable Law.


More Definitions of Designated Stock

Designated Stock means the Common Stock and any other stock of the Corporation that is designated as “Designated Stock” from time to time pursuant to this Certificate of Incorporation (including any certificate of designation relating to any series of Preferred Stock). The Series I Preferred Stock is not Designated Stock as of the effectiveness of this Certificate of Incorporation.
Designated Stock has the meaning set forth in Section 3.5(b)(i).
Designated Stock shall have the meaning set forth in Section 5.1(b)(i).
Designated Stock means the shares of Common Stock listed next to each Selling Shareholder's name in Schedule I hereto. For the purposes of the Registration Rights Instrument, the Designated Stock shall be deemed to be the Participating Stock, subject to such stock ceasing to be Participating Stock pursuant to the last sentence of Section 1(a) of the Registration Rights Instrument, and the Selling Shareholders shall be deemed to be the Participating Holders.
Designated Stock means any United States national securities exchange on which the securities of the Company are listed for Exchange" trading, including the New York Stock Exchange.
Designated Stock means (i) any and all Designated Stock owned by the Company listed on Exhibit A hereto; (ii) all additional shares of any Issuers of Designated Stock from time to time acquired by the Company in any manner; (iii) any and all securities now or hereafter issued in substitution, exchange or replacement therefor, or with respect thereto; and (iv) and any and all equity interests and the Certificates or other written evidences representing such equity interests and any interest of the Company in the entries on the books of any financial intermediary pertaining thereto now or hereafter acquired by the Company in any Issuer of Designated Stock.
