Notwithstanding the foregoing, all power or authority to act on behalf of the Partnership or to bind the Partnership vis-a-vis third parties shall be entirely vested with the General Partner, and nothing in this Section 1.7(b) shall be construed to limit in any way the authority of the General Partner to act alone in taking any action or making any decision on behalf of the Partnership or to require the participation, approval or consent of the Designated Limited Partner with respect to any such decision.
This Section 3.1 shall not be deemed to limit the rights of the APAX Limited Partner or the Designated Limited Partner that are expressly provided herein.
It is further agreed and understood that the foregoing rights of a Designated Limited Partner do not in any way restrict the authority of the General Partner to act alone in taking any action or making any decision on behalf of the Partnership.
If, at any time and for any reason, the operation of this Section 3.8 proves inadequate as a means of ensuring that an individual has the authority to act as a Designated Limited Partner, then the General Partner shall admit and designate another limited partner to serve as the Designated Limited Partner.
