DESCRIPTION OF PROJECT. The Loan (sometimes referred to herein as the "Phase I Loan") is being committed for the construction of a development known as "Tierra del Sol" (the "Project"). The Loan which is the subject of this Commitment is for Phase I of the Project. Additionally, an entity related to the Lender, KeyBanc Capital Markets, is underwriting the issuance of a Community Development District ("CDD") bonds, with net proceeds in the amount of approximately $21,139,322, which will be used for the payment of Project costs and to purchase common land. Borrowers shall comply with all requirements of KeyBanc with respect to the CDD issuance.
