Demand Stock definition

Demand Stock means the Common Stock and any securities into or for which the Common Stock has been converted or exchanged, and any security issued with respect thereto upon any stock dividend, split or similar event that may be disposed of by a Holder for any reason.
Demand Stock is defined in Section 2.
Demand Stock means all of the shares of Registrable Securities being requested to be registered by the Initiating Holders and the Notified Persons. Rio Grande will use its best efforts to expeditiously (but in any event within 90 days of the written request described in the first sentence of this section) effect the registration of the Demand Stock under the Securities Act and qualify the Demand Stock for sale under any state blue sky law, but only to the extent provided for in the following provisions of this Article II; provided, however, that the shares of Demand Stock for which registration has been requested shall constitute at least 40% of the total shares of Registrable Securities then outstanding (assuming for this purpose that all issued and outstanding Series B Preferred Stock is converted into Conversion Stock). Rio Grande shall not be required to effect registration pursuant to requests under this Section 2.1 more than three (3) times for the holders of the Registrable Securities as a group. A demand registration instituted pursuant to this Section 2.1 shall not be counted as such unless and until (1) Rio Grande shall have in good faith filed a registration statement with the Commission pursuant to this Section 2.1 and (2) the holders holding at least a majority of the Registrable Securities included in such offering elect to proceed with the registration process after receiving the Commission's complete initial comments, if any, to the first filing of such registration statement. Rio Grande shall not be required to include in such registration any shares of Common Stock that are issuable upon the conversion of Preferred Stock unless the holder commits in writing to Rio Grande that such holder will convert the Preferred Stock into shares of Common Stock before or not later than simultaneously with the effectiveness of the registration statement registering those shares of Common Stock.

Examples of Demand Stock in a sentence

  • A Resale Registration Statement shall be on Form S-11 or another appropriate form permitting registration pursuant to the Securities Act of such Class F Conversion Stock or Demand Stock for resale by the Holders thereof in accordance with the methods of distribution elected by such Holders and set forth in the Resale Registration Statement.
