Delivered Product definition

Delivered Product means Product actually Delivered to a Buyer pursuant to this Agreement. For the sole purpose of determining which week's Ammonia Market Price is in effect, Product is considered to be Delivered Product upon completion of loading of the Buyer's Vessel upon which such Product is to be transported, as evidenced by the relevant Xxxx of Lading.

Incoterms has the meaning set out in clause 7.3 Independent Surveyor means an appropriately qualified independent surveyor company to carry out the quality, weight and size analysis of the Product under clause 9.3 and 9.4, to be jointly selected by the Parties from the list of surveyors set out in the attached Exhibit 1. Market Price is the price per Tonne for Product as the Buyer and Seller may agree for a particular Order prior to the initiation of such Order, acting in good faith, reasonably and having due regard to market related variables including but not limited to signs of shortages, excess inventories or changes in supply or demand for the product applicable in the worldwide market for the Product. The Market Price including the premium or discount to the Provisional Price (if any) shall be mutually agreed between the Parties in writing during the Quotation Period and prior to any Shipment being dispatched and adjusted for any differences applicable by reference to the applicable Incoterms. Market Price 1 determined in accordance with clause 10.2 (a) of this Agreement. Order means a written notification by the Buyer to the Seller in respect of a particular order of Product to be made pursuant to this Agreement, which shall include the details required by clause 6.2.
Delivered Product means Product that has been delivered to the Buyer in accordance with clause 7. Duration Period has the meaning set out in clause 15.1.

Examples of Delivered Product in a sentence

  • If, however, Licensor fails to deliver an acceptable replacement Delivered Product within sixty (60) days of the original delivery date, Creative shall, at its option, have the right to terminate this Agreement and Licensor shall pay to Creative a penalty payment for each instance of failure under this Section 11.1, in the amount of $25,000.00.

  • If Creative rejects any Delivered Products, Creative shall provide reasons for its rejection and shall, at the request of Licensor, return the rejected Delivered Product to Licensor.

  • Licensor shall make commercially reasonable efforts to promptly correct and replace such rejected Delivered Product.

  • In addition to the obligations of Buyers under Section 2.3, but subject to Section 2.4.2, each Buyer shall, with respect to each Buyer-Caused Shutdown, pay for (a) fifty percent (50%) of the Deemed Delivered Product and (b) fifty percent (50%) of the undelivered Tendered Product attributable to such Buyer-Caused Shutdown.

  • SIE shall only be taken to have exercised its rights under this Section 9 in respect of any Digitally Delivered Product in a particular country where SIE's activities in respect of that Digitally Delivered Product are directed at that country.

  • There will be no obligation on SCE to supply any Digitally Delivered Product until SCE has accepted the relevant Product Submission (without prejudice to Section 9.2.5(ii)).

  • Not later than three Business Days after completion of each Delivery to a Buyer, Seller shall prepare and deliver to such Buyer a billing statement (together with the relevant Bill of Lading) showing (a) the total tonnage of Xxxivered Product included in such Delivery (b) the price per tonne payable for such quantity of Delivered Product, determined in accordance with Section 2.6, and (c) the aggregate price owing in respect of such Delivered Product.

  • End product means those articles, materials, and supplies to be acquired under the contract for public use.

  • Milk product or "dairy product" means cottage cheese, dry curd cottage cheese, reduced fat cottage cheese, lowfat cottage cheese, cream, light cream, light whipping cream, heavy cream, heavy whipping cream, whipped cream, whipped light cream, sour cream, acidified sour cream, cultured sour cream, half-and-half, sour half-and-half, acidified sour half-and-half, cultured sour half-and-half, reconstituted or recombined milk and milk products, concentrated milk, concentrated milk products, skim milk, lowfat milk, frozen milk concentrate, flavored milk, eggnog, buttermilk, cultured milk, cultured lowfat milk, cultured skim milk, yogurt, lowfat yogurt, nonfat yogurt, acidified milk, acidified lowfat milk, acidified skim milk, low-sodium milk, low-sodium lowfat milk, low-sodium skim milk, lactose-reduced milk, lactose-reduced lowfat milk, lactose-reduced skim milk, aseptically processed and packaged milk, milk products with added safe and suitable microbial organisms, and any other milk product made by the addition or subtraction of milkfat or addition of safe and suitable optional ingredients for protein, vitamin, or mineral fortification. Unless a product is considered a milk product under this subdivision, milk product does not include dietary products, infant formula, ice cream or other desserts, cheese, or butter. Milk products include the following:

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Licensed Compound means (a) 3,4-Diaminopyridine, the chemical structure of which is set forth on Exhibit B-2; and (b) any derivatives, isomers, metabolites, prodrugs, acid forms, base forms, salt forms, or modified versions of such compound in (a).

  • Recycled product means a product containing recovered material, or post-consumer recovered material, or both.

  • Drug sample means a unit of a prescription drug that is not intended to be sold and is intended to promote the sale of the drug.
