Degussa has entered into a cash management agreement relating to the cash pooling of funds of DD KG, Bios GmbH and other German affiliates of Degussa (herein "German Cash Management Agreement"). Furthermore, Degussa has entered into a cash management agreement relating to the cash pooling of funds of Elephant and other Dutch affiliates of Degussa (herein "Dutch Cash Management Agreement").
