Common Securities Certificate means a certificate evidencing ownership of Common Securities, substantially in the form attached as Exhibit B.
Capital Securities Certificate means a certificate evidencing ownership of Capital Securities, substantially in the form attached as Exhibit C.
Definitive Capital Securities Certificates means either or both (as the context requires) of (i) Capital Securities Certificates issued as Book-Entry Capital Securities Certificates as provided in Section 5.11, and (ii) Capital Securities Certificates issued in certificated, fully registered form as provided in Section 5.13.
Definitive Preferred Securities Certificates means Preferred Securities issued in certificated, fully registered form that are not Global Preferred Securities.
Preferred Securities Certificate means a certificate evidencing ownership of Preferred Securities, substantially in the form attached as Exhibit C.
Securities Certificate means any one of the Common Securities Certificates or the Preferred Securities Certificates.
Trust Securities Certificate means any one of the Common Securities Certificates or the Preferred Securities Certificates.
Book-Entry Preferred Securities Certificates means a beneficial interest in the Preferred Securities Certificates, ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 5.11.
Restricted Securities Certificate means a certificate substantially in the form set forth in Annex A.
Unrestricted Securities Certificate means a certificate substantially in the form set forth in Annex A.
Definitive Capital Securities means any Capital Securities in definitive form issued by the Trust.
Definitive Trust Certificates shall have the meaning set forth in Section 3.10.
Global Certificate means a Certificate that evidences all or part of the Units and is registered in the name of the Depositary or a nominee thereof.
Preferred Security Beneficial Owner means, with respect to a Book Entry Interest, a Person who is the beneficial owner of such Book Entry Interest, as reflected on the books of the Clearing Agency, or on the books of a Person maintaining an account with such Clearing Agency (directly as a Clearing Agency Participant or as an indirect participant, in each case in accordance with the rules of such Clearing Agency).
Class S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-22 hereto and evidencing an undivided beneficial interest in the Class S Specific Grantor Trust Assets. The Class S Certificates have no Pass-Through Rate, Certificate Balance or Notional Amount.
Capital Security Beneficial Owner means, with respect to a Book Entry Interest, a Person who is the beneficial owner of such Book Entry Interest, as reflected on the books of the Clearing Agency, or on the books of a Person maintaining an account with such Clearing Agency (directly as a Clearing Agency Participant or as an indirect participant, in each case in accordance with the rules of such Clearing Agency).
Capital Security Certificate means a definitive Certificate in fully registered form representing a Capital Security substantially in the form of Exhibit A-1.
Common Security Certificate means a definitive certificate in fully registered form representing a Common Security substantially in the form of Exhibit A-2.
Class ___ Certificate Any one of the Certificates executed and authenticated by the Trustee or the Authenticating Agent on behalf of the Depositor in substantially the form set forth in Exhibit ____ hereto.
Global Certificates Any Certificate registered in the name of the Depository or its nominee.
Preferred Security Certificate means a certificate representing a Preferred Security substantially in the form of Exhibit A-1.
Class A-S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-8 hereto.
Non Book-Entry Capital Securities shall have the meaning set forth in Section 2.05.
Definitive Warrant means a Warrant Certificate in definitive form that is not deposited with the Depositary or with the Warrant Agent as the Warrant Custodian.
Common Securities means the securities representing common undivided beneficial interests in the assets of the Issuer.
Definitive Notes shall have the meaning specified in Section 2.11 of the Indenture.
