Deferred Consideration Shares definition

Deferred Consideration Shares means the Common Stock of Marquee Inc. to be issued to the Sellers in accordance with the provisions of Clause 3.3 and ranking pari passu with the existing Common Stock of Marquee Inc. at the date of issue;

Deferred Consideration Shares means the Common Stock of the Purchaser to be issued to the Sellers in accordance with the provisions of Clause 3.3 and ranking pari passu with the existing Common Stock of the Purchaser at the date of issue;

Deferred Consideration Shares has the meaning given in Section 2.2(a)(iii).

More Definitions of Deferred Consideration Shares

Deferred Consideration Shares means the ordinary shares in the capital of the Purchaser to be issued by the Purchaser to the Vendors (and where applicable to the employees of the Company in accordance with the provisions of this Agreement) in satisfaction of the Deferred Consideration (if any) the number of which is to be determined in accordance with the provisions of the Seventh Schedule;
