Defaulting Lender Period definition

Defaulting Lender Period means, with respect to any Defaulting Lender, the period commencing on the date upon which such Lender first became a Defaulting Lender and ending on the earliest of the following dates: (i) the date on which all Commitments are cancelled or terminated and/or the Obligations are declared or become immediately due and payable and (ii) the date on which (a) such Defaulting Lender is no longer insolvent, the subject of a bankruptcy or insolvency proceeding or, if applicable, under the direction of a receiver or conservator, (b) the Defaulting Lender Excess with respect to such Defaulting Lender shall have been reduced to zero (whether by the funding by such Defaulting Lender of any Defaulted Loans of such Defaulting Lender or otherwise), and (c) such Defaulting Lender shall have delivered to Borrower and the Administrative Agent a written reaffirmation of its intention to honor its obligations hereunder with respect to its Commitments.

Defaulting Lender Period means, with respect to any Defaulting Lender, the period commencing on the date upon which such Lender first became a Defaulting Lender and ending on the following date: (i) in the case of a Defaulting Lender pursuant to clause (a) or (b) of the definition thereof, the date on which all Commitments are cancelled or terminated and no Loans are outstanding, (ii) in the case of a Defaulting Lender pursuant to clause (c) or (d) of the definition thereof, the date on which such Defaulting Lender shall have delivered to the Borrower and the Administrative Agent a written reaffirmation of its intention to honor its obligations hereunder with respect to its Commitments and other obligations hereunder and (iii) in the case of a Defaulting Lender pursuant to clause (e) of the definition thereof, the date on which (a) such Defaulting Lender (or its direct or indirect parent, as applicable) is no longer insolvent, the subject of a bankruptcy or insolvency proceeding or, if applicable, under the direction of a receiver or conservator.

  • Notwithstanding anything to the contrary herein, no Defaulting Lender shall have any claim or cause of action, or right to indemnification, from and against the Borrowers, the Administrative Agent or any other Lender for any matters set forth in this Section 2.22 or in Section 10.5(a), (b), (d)(i) and (d)(iv) arising during a Defaulting Lender Period.

  • Anything contained herein to the contrary notwithstanding, in the event that any Lender at any time is a Defaulting Lender, then the following provisions shall apply for so long as the Defaulting Lender Period exists with respect to such Defaulting Lender.
