Deemed Common Stock definition

Deemed Common Stock means the Class A Common Stock and the shares of Class A Common Stock issuable upon conversion of the Series A Preferred Stock and the Class C Common Stock in accordance with the terms of the Certificate of Incorporation (for purposes of this Agreement, such shares of Class A Common Stock shall be deemed to be outstanding), provided that Deemed Common Stock shall not include Converted Common.

  • If the Offered Shares are accepted for purchase by more than one Shareholder, the Offered Shares shall be allocated among such accepting Shareholders pro rata based on their respective ownership of Deemed Common Stock.

  • The MTR is of the opinion that the previous change in emphasis from working with a few large VCCs as specified in the programme design, to one where the Programme will work with a larger number of VCCOs at the community level, was justified and that the modified approach has the potential to reach the overall development objective as originally specified.

  • If the Corporation shall at any time or from time to time after the Original Issue Date effect a subdivision of the outstanding Common Stock, the Deemed Common Stock Value in effect immediately before that subdivision shall be proportionately decreased so that the number of shares of Common Stock issuable on conversion of each share of Preferred Stock shall be increased in proportion to such increase in the aggregate number of shares of Common Stock outstanding.

  • Old Common Stock means the Company's common stock, par value $.01 per share, outstanding as of the date of the Company's filing of the petition commencing the Chapter 11 Case.

  • Fully-Diluted Common Stock means, at any time, the then outstanding Common Stock plus (without duplication) all shares of Common Stock issuable, whether at such time or upon the passage of time or the occurrence of future events, upon the exercise, conversion, or exchange of all then outstanding Common Stock Equivalents.

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.
