Dealer Rate definition

Dealer Rate. Dealer pays interest to Textron Financial in accordance with the agreements between Dealer and Textron Financial at a basic rate of *. At maturity, Dealer pays a maturity rate of interest in accordance with the agreements between Dealer and Textron Financial, which shall be *. Default rate shall be as provided in the agreements between Dealer and Textron Financial. Unless otherwise agreed in writing by Textron Financial and the Company, interest shall be payable by each Dealer monthly, in arrears, and shall be due and payable by the fifteenth (15th) day of the month following the month in which such interest accrues. The Company agrees that, if the Company and Textron Financial shall mutually agree to change the foregoing interest and fee program being charged to the Dealers such that such interest and fees become more favorable to such Dealers (including, without limitation, reducing the *), the Company shall reimburse Textron Financial on a monthly basis for the shortfall in payments that Textron Financial receives in respect of such changed interest rate and fee program in comparison to what Textron Financial would have received if the original interest rate and fee program described above had remained in place. Such reimbursing payments shall be made by the Company monthly, in arrears, and shall be due and payable by the fifteenth (15th) day of the month following the month in which such payments accrue.
Dealer Rate. The effective dealer interest rate for any month (after the manufacturer subsidy period expires, if applicable) shall be Adjusted 30-Day Average SOFR plus 3.45
Dealer Rate means, for each Interest Period, the rate of interest per annum, rounded, if necessary, to the next highest whole multiple of one-sixteenth percent (1/16%), quoted by Agent at or before 10:00 a.m., Houston, Texas time (or as soon thereafter as practicable), on the first day of such Interest Period, to be the arithmetic average of the prevailing rates per annum at the time of determination and in accordance with the then existing practice in the applicable market, bid by one or more certificate of deposit dealers of recognized standing selected by Agent in its sole discretion, for the purchase at face value of domestic negotiable certificates of deposit from Agent, or any affiliate of Agent selected by Agent as the reference bank, having a maturity equal to the length of such Interest Period and in an amount equal (or as nearly equal as may be) to the CD Rate Borrowing to which such Interest Period relates. Each determination by Agent of the Dealer Rate shall be conclusive and binding, absent manifest error, and may be computed using any reasonable averaging and attribution method.

  • Commercial Paper Rate means: (1) the

  • Auto-Call Trigger Rate means the applicable percentage in respect of the relevant Auto-Ca l Valuation Date on which an Auto-Call Trigger Event has occurred as set out in the definition of Auto-Call Trigger Level above (i.e. as shown in the same row as that date).

  • Auction Rate means the rate of interest per annum that results from implementation of the Auction Procedures and is determined as described in Section 2.02(a)(iii)(B) of this Appendix A.

  • Yield Rate means, (i) with respect to any Eligible Treasury Security on deposit at any time in either of the Paired Holding Trusts, the stated interest rate of such Eligible Treasury, if any, or any discount rate applicable to such Eligible Treasury, based on the purchase date and purchase price at which the applicable Paired Holding Trust acquired that Eligible Treasury, and (ii) with respect to any Eligible Treasury Repurchase Agreement, the difference between the repurchase price and the purchase price paid under such agreement, with such difference expressed as a percentage of such purchase price.

  • Weighted Average Net Mortgage Rate The weighted average of the Net Mortgage Rates of the Mortgage Loans, weighted on the basis of the Stated Principal Balances thereof as of the close of business on the first day of the calendar month preceding the month in which such Distribution Date occurs.

  • Three-Month LIBOR Rate means the rate determined in accordance with the following provisions:

  • Calculation Rate For each Distribution Date, in the case of the Class A and Class B Interests, the product of (i) 10 and (ii) the weighted average rate of the outstanding Class A and Class B Interests, treating each Class A Interest as capped at zero or reduced by a fixed percentage of 100% of the interest accruing on such Class.
