DCB Common Stock and “DCB Shares” each means shares of voting common stock of DCB, without par value.

DCB Common Stock has the meaning given to the term in Section 3.2(a) of this Agreement. DCB Common Stockholder is any holder of record of DCB Common Stock immediately prior to the Effective Time. DCB Common Stockholders’ Meeting means the meeting of the holders of DCB Common Stock to consider and vote on the Agreement and the Merger, and any postponement or adjournment thereof. Examples of DCB Common Stock in a sentence

  • Where any person is entitled to receive shares of DCB Common Stock pursuant to the exercise of the Converted Option granted hereunder, DCB shall have the right to require such person to pay to DCB the amount of any tax which DCB is required to withhold with respect to such shares, or, in lieu thereof, to retain, or to sell without notice, a sufficient number of shares of DCB Common Stock to cover the amount required to be withheld.

  • DCB shall not be required to deliver any DCB Common Stock under this Agreement prior to (a) the admission of such DCB Common Stock to listing on any stock exchange on which DCB Common Stock may then be listed, or (b) the completion of such registration or other qualification under any state or federal law, rule or regulations as the DCB Committee shall determine to be necessary or advisable.
