Upon receipt of such payment, Parent shall release to the Genex Stockholder the number of shares of ▇▇▇▇▇▇▇▇ Common Stock held in the Indemnity Escrow Fund having a value (based on the average volume-weighted closing price of the ▇▇▇▇▇▇▇▇ Common Stock for the ten (10) trading days prior to the DCAA Audit Determination Date) equal to the Bad Debt.
Any legal and accounting fees or other expenses incurred by Genex or Merger Sub in connection with its response to the DCAA Audit are expressly excluded from and shall not be a part of any Indemnification Claim.
Any Indemnification Claim (a) relating to title to the Genex Common Stock, Taxes, ERISA or Environmental Claims must be asserted by written notice to the applicable party prior to the termination of the applicable statute of limitations and (b) relating to Intellectual Property matters or the DCAA Audit must be asserted by written notice to the applicable party before the third anniversary of the Closing Date.
The balance contained in the Retained Amount, following any such offset, shall be distributed to the Parent, if at all, within ten (10) days of the later to occur of: (A) receipt by the Company of the DCAA Audit report for the year ended December 31, 2006 (the “Audit Report”), and (B) the three (3) year anniversary of the Closing Date.
Buyers hereby assign to Sellers, free of all Encumbrances, the positive net difference between (i) all Future DCAA Supplemental Payments (including any repayment of the $900,000 reduction) and (ii) all Future DCAA Audit Liabilities.
In light of the foregoing and notwithstanding Section 6.5(a), Buyer and Seller further agree to cooperate with respect to (x) any DCAA Audit and any future true-up or other claim with respect to pre-Closing periods under any Government Contract that is a Purchased Contract, including in the preparation and collection of final ▇▇▇▇▇▇▇▇ and in the preparation of incurred cost submissions, and (y) the pursuit of the matters set forth on Schedule 6.5(b).
Additionally, each cost reimbursable task order issued will be subject to DCAA Audit.
