Datec Parties means Datec and the Datec Subsidiaries, collectively;

  • The Datec Parties and eLandia covenant and agree to proceed diligently, in a coordinated fashion, to apply for and obtain the Appropriate Regulatory Approvals.

  • During the Pre-Effective Date Period, eLandia and the Datec Parties will coordinate with each other and agree in advance on both the timing and contents of any public announcements relating to this Arrangement.

  • Each of eLandia and the Datec Parties shall bear its own expenses incurred in connection with the Arrangement contemplated hereby, whether or not the Arrangement is consummated.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Transaction Parties As defined in Section 5.3(o).

  • Party/Parties means Buyer and Seller individually/collectively.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Selling Parties shall have the meaning specified in the preamble.

  • Party/Parties means Buyer and Seller individually/collectively.

  • Acquired Entities means the Company and the Company Subsidiaries.
