Date of Termination of Employment definition

Date of Termination of Employment means (i) if Employee’s employment with the Company is terminated by his death, the date of Employee’s death, or (ii) if Employee’s employment with the Company is terminated for any reason whatsoever other than Employee’s death, the earlier of the date indicated in the Notice of Termination of Employment or the date specified by the Company pursuant to Section 7.02.

Date of Termination of Employment means, with respect to an Employee who is terminating employment with the Corporation, (i) the last day such Employee performs actual services for the Corporation as an Employee, (ii) the 91st day of a bona fide leave of absence when such Employee's right to continue employment with the Corporation is not guaranteed by law or contract or, if later, on the date that such legal or contractual guarantee lapses, (iii) the date that such Employee is deemed to have a Disability, or (iv) the date of such Employee's death, as applicable.

Date of Termination of Employment means the date upon which a Participant is no longer employed by, or ceases to hold salaried office in, any Employer Company; provided that, where a Participant's employment is terminated without notice or on terms in lieu of notice, the Date of Termination of Employment shall be deemed to occur on the date on which the termination takes effect, and where such employment is terminated with notice, the Date of Termination of Employment shall be deemed to occur upon the date on which that notice expires;

Examples of Date of Termination of Employment in a sentence

• The portion of the Award that does not Vest will lapse on the Date of Termination of Employment.

• A Notice of Termination of Employment submitted by the Company may provide for a Date of Termination of Employment on the date Employee receives the Notice of Termination of Employment, or any date thereafter elected by the Company in its sole discretion.

• NOTE: If an individual has left your employment, you must terminate the individual by reporting the reason in Field 25: Employment Status and the date in Field 26: Date of Termination of Employment, along with the appropriate fields for the assignment code of the employee.

• NOTE: If an individual has left the school's employment, the authorized user must terminate the individual by reporting the date in Field 10: Date of Termination of Employment, along with the appropriate fields for the employee.

• During such period, the number of shares of Stock with respect to which this Option shall be exercisable shall not be determined in accordance with paragraph A.2(b) but shall be determined in accordance with the following formula: Shares Exercisable = [ Total Shares Covered by This Option X Days Elapsed From Date of Grant to Date of Termination of Employment* ] – Prior Exercises 1,095 * Not to exceed 1,095 days.
