Date of Employment Termination definition

Date of Employment Termination means (i) if the Executive’s employment is terminated by the Executive’s death, the date of the Executive’s death; (ii) if the Executive’s employment is terminated because of the Executive’s Disability, 30 days after Notice of Termination, provided that the Executive shall not have returned to the performance of the Executive’s duties on a full-time basis during such 30-day period; (iii) if the Executive’s employment is terminated by the Company for Cause, the date immediately following the Notice of Termination; (iv) if the Executive’s employment is terminated by the Company, 30 days after the Notice of Termination; or (v) if the Executive voluntarily terminates his or her employment, the date 21 days after the Notice of Termination.
Date of Employment Termination means the earlier of the date on which Executive or the Company gives written notice of termination of Executive's employment to the other party or, in the case where the Employment Term expires due to the delivery of a notice of non-renewal, the date the Employment Term lapses.
Date of Employment Termination means: (i) if the Executive's employment is terminated by Unified for Cause or by the Executive for Good Reason, the later of the day specified in the Notice of Termination and the last day of the cure period specified in Section 3.3 or 3.4; (ii) if the Executive's employment is terminated by reason of death or Disability, the date of death of the Executive or the Disability Effective Date, as the case may be; (iii) if the Executive's employment is terminated by Unified other than for Cause or Disability, the date the Notice of Termination is given or any later date (within the ninety-day limit provided in Section 3.5) specified therein, as the case may be; (iv) if the Executive shall terminate employment with Unified for any reason other than for Good Reason, the date the Executive shall terminate his employment with Unified or, if not more than ninety (90) days later, the date specified in the Notice of Termination; and (v) in any other case, the date on which the Expected Employment Period ends.

  • Executive shall not be required to mitigate the amount of any payment or benefit provided for in this Agreement by seeking other employment or otherwise, nor shall the amount of any payment or benefit so provided for be reduced by any compensation earned by him as the result of employment by another employer after the Date of Employment Termination, or otherwise.

  • If participation is barred, or an applicable plan, program or arrangement is discontinued or the benefits thereunder are materially reduced, the Company shall arrange to provide Executive with benefits substantially similar to those which he was entitled to receive immediately prior to the Date of Employment Termination.

  • Retirement Pension shall be determined as of Executive's retirement at age 65, using the same methods and assumptions used at the Date of Employment Termination for purposes of the EDO Corporation Employees Pension Plan.

  • If participation is barred, or an applicable plan, program or arrangement is discontinued or the benefits there under are materially reduced, the Company shall arrange to provide Executive with benefits substantially similar to those which he was entitled to receive immediately prior to the Date of Employment Termination.

  • The amount of any loan or advance to Executive shall be due and payable as of the Date of Employment Termination.

  • The Company shall have no right of setoff against any amount due Executive under this Agreement, except that the Company may set off against such amount the balance of any loan or advance which remains unpaid after the third day following the Date of Employment Termination.

  • Except as provided in Section 2.5, if the Executive’s employment with the Company is terminated in accordance with this Section 2.3, the Company shall pay the Executive the Executive’s then current base salary through the Date of Employment Termination and all other unpaid amounts, if any, to which Executive is entitled as of the Date of Employment Termination.

  • Consequently, the Executive covenants and agrees that during the course of employment by the Company and for a period of two years after the Date of Employment Termination the Executive shall not directly or indirectly, on behalf of himself or another, solicit, lure or hire any employees of the Company of whom the Executive became aware while employed by the Company, or assist or aid in any such activity.

  • If the Executive's employment is terminated by the Company for Cause, the Company shall pay the Executive his full base salary through the Date of Employment Termination (at the rate in effect as of the Date of Employment Termination), and the Company shall have no further obligations to the Executive under this Agreement.

Related to Date of Employment Termination

  • Employment Termination means the effective date of: (i) Executive’s voluntary termination of employment with the Company with Good Reason, or (ii) the termination of Executive’s employment by the Company without Good Cause.

  • Employment Termination Date means, with respect to a Participant, the first day upon which the Participant no longer has an employment or service relationship with the Company or any Related Company.

  • Date of Employment means the first day an Employee performs an Hour of Service.

  • Length of Employment means the period of time since an employee last became a full-time or part-time employee in a permanent or term position for purposes of calculating all entitlements pursuant to this Agreement including, but not limited to, vacation, bonus vacation and pre-retirement leave and “Length of Service” shall have a similar meaning. Conversion from full-time or part-time status to casual status shall be considered a break in service and no period of casual employment or prior full-time or part-time employment in a permanent or term position shall be included in an employee’s length of employment or length of service even when a casual employee subsequently becomes a full-time or part-time employee.

  • Severance Period means the period of time commencing on the date of the first occurrence of a Change in Control and continuing until the earlier of (i) the second anniversary of the occurrence of the Change in Control and (ii) the Executive’s death.

  • Good Reason Termination means a termination of employment or service initiated by the Participant upon or after a Change of Control upon one or more of the following events:

  • employment zone means an area within Great Britain designated for the purposes of section 60 of the Welfare Reform and Pensions Act 1999 and an “employment zone programme” means a programme established for such an area or areas designed to assist claimants for a jobseeker’s allowance to obtain sustainable employment;

  • Disability Termination means termination by the Company of the Executive’s employment by reason of the Executive’s incapacitation due to disability. The Executive will be deemed to be incapacitated due to disability if at the end of any month the Executive is unable to perform substantially all of the Executive’s duties under this Agreement in the normal and regular manner due to illness, injury or mental or physical incapacity, and has been unable so to perform for either (i) three consecutive full calendar months then ending, or (ii) 90 or more of the normal working days during the 12 consecutive full calendar months then ending. Nothing in this paragraph alters the Company’s obligations under applicable law, which may, in certain circumstances, result in the suspension or alteration of the foregoing time periods.

  • Voluntary Termination for Good Reason means that the Executive voluntarily terminates his employment after any of the following are undertaken without Executive’s express written consent:

  • Involuntary Termination means a termination of your employment with the Company pursuant to either (i) a termination initiated by the Company without Cause, or (ii) your resignation for Good Reason, and provided in either case such termination constitutes a Separation from Service. An Involuntary Termination does not include any other termination of your employment, including a termination due to your death or disability.

  • the Executive means the Health and Safety Executive;

  • Stated Termination Date means December 31, 2000.
