(d) Certificate definition

(d) Certificate means a certificate of an Authorized Officer (i) certifying that the conditions to the making of a Restricted Payment set forth in Section 6.5(d)(i) have been satisfied and (ii) designating the portion of such Restricted Payment made in reliance upon (x) the Periodic Dividend Amount and (y) the Restricted Payment Amount. Any such designation made pursuant to clause (ii) of the preceding sentence shall be permanent.
