Examples of Customer Indemnitees in a sentence
For the avoidance of doubt, subject to Section 6.2, J.P. Morgan will indemnify the Customer Indemnities for any Liabilities that are (i) not attributable to the negligent or fraudulent acts or omissions of the Customer Indemnitees and (ii) paid out of the pocket of a Customer Indemnitee that result directly from J.P. Morgan’s failure to meet J.P. Morgan’s Standard of Care in the performance of its obligations or duties under this Agreement.
Lonza shall indemnify the Customer, its Affiliates, and their respective officers, employees and agents (“Customer Indemnitees”) for any loss, damage, costs and expenses (including reasonable attorney fees) that Customer Indemnitees may suffer as a result of any Third Party claim arising directly out of [***] except, in each case, to the extent that such claims resulted from the negligence, intentional misconduct or breach of this Agreement by any Customer Indemnitees.
It is the express intention of Customer that the Customer Indemnitees shall be third party beneficiaries of this Agreement.
Vendor agrees to defend against, and hold harmless the Customer Indemnitees from any such Claims and to pay all litigation costs (including the costs of any appellate bonds) and any Damages awarded or resulting from any such Claim; provided, that Customer shall, after receiving notice thereof, promptly advise Vendor of any such Claim.
Vendor shall indemnify, defend and hold harmless the Customer Indemnitees from and against any Claim asserted or brought against a Customer Indemnitee alleging that the performance of the Services constitutes a misappropriation or infringement upon any patent, trademark, copyright, trade secret or other intellectual property or proprietary right of any third party.
