Customer Group Company definition

Customer Group Company means the Customer and any subsidiary or holding company of the Customer and any subsidiary of such holding company from time to time as such terms are defined in Section 1159 of the Companies Xxx 0000. Details of each Customer Group Company are set out in Schedule E, and changes thereto shall be notified to ICE as soon as practicable following the occurrence of such change in accordance with clause 14.4.
Customer Group Company means the Customer and/or any entity that, directly or indirectly, controls, is controlled by, or is under common control with the Customer and is party to this DPA, where “control” means the power (directly or indirectly) to appoint or remove a majority of the directors of that entity and includes Affiliates.

Examples of Customer Group Company in a sentence

  • Where two or more Customer Group Companies (as defined in the ISDA SIMM Crowdsourcing Facility usage licence) are using ISDA SIMM Crowdsourcing Facility information under an ISDA SIMM Crowdsourcing Facility usage licence with a Customer, then the Customer will be treated as falling in the earliest Initial Margin Phase (i.e. the numerically lowest in the above table) applicable to any such Customer Group Company.

  • Where a Customer Group Company derives an interest rate benchmark using LIBOR and other inputs, then the percentage of the gross revenues used to calculate the Licensed Product Revenue may be reduced based on the relative values of such inputs and their usage in the derivation, as agreed by IBA in consultation with the Customer.

  • Where a Customer Group Company sells the Licensed Product in combination with other products, then the Licensed Product Revenue will be calculated as 25% of the fraction C / (C+D) of the gross revenues received in relation to all fees or other revenue generated for the licensing or use of the combination product (where C = the fair market value of the Licensed Product if it were sold separately, and D = the fair market value of each other product in the combination product if it were sold separately).

  • For the avoidance of doubt, if a Customer Group Company does not receive or generate any Licensed Product Revenue for trading or clearing services in respect of products for which ICE Swap Rate information serves directly or indirectly as, or as part of, an input or underlying reference, the fees payable in respect of an ICE Swap Rate trading / clearing venue licence shall be USD 52,250 for trading only, USD 52,250 for clearing only, or USD 105,000 for trading and clearing, per annum.

  • If any Customer Group Company or User objects to the transfer of Traffic Data between Vodafone Group Companies or its subsequent Processing by a Vodafone Group Company, the Vodafone Group Company shall, as soon as reasonably practicable, suspend or cease the transfer or Processing until the objection is resolved.

  • For the avoidance of doubt, if a Customer Group Company does not receive or generate any Licensed Product Revenue for the licensing or use of the derived interest rate benchmark, the fees payable in respect of a LIBOR derived benchmark licence shall be USD 50,000 per annum.

Customer Group Company means a Customer subsidiary or holding company, or any subsidiary of that holding company, all as defined by Section 1159 of the Companies Act, 2006.

Related to Customer Group Company

  • Customer Group means, collectively, Customer, its parents and Affiliates, its Agents, and its and their respective managing members, general and limited partners, officers, directors, employees, and other representatives.

The “Customer” may also be the “Buyer” as defined in the PUR 1001 if it meets the definition of both terms.

  • Target Group means the Target and its Subsidiaries.
