Custom Material definition

Custom Material has the meaning ascribed thereto in subsection 11.9.1.
Custom Material shall have the meaning ascribed in Section 9.3 herein.
Custom Material means any modifications or enhancements to Products made by Seller that are funded by Buyer.

Examples of Custom Material in a sentence

  • Such summary will provide a description of any proposed Custom Material sufficient to enable the Vendor to determine the general demand for, and its plans, if any, to develop the same or similar Products.

  • If the Owner has a requirement for Custom Material that is a specific enhancement or modification of a previously licensed feature or of previously purchased Products, the Owner will identify to the Vendor in writing a summary of any such proposed development of Custom Material.

  • The Vendor will respond to such summary within thirty (30) days after receipt thereof and indicate if it has the ability to fulfill a subsequent Request for Proposal ("RFP") from the Owner for such development of Custom Material.

  • Advertiser will pay for such Custom Material within 30 days from receiving an invoice therefore.

  • For IOs that contemplate the provision or creation of Custom Material, Media Company will specify the amounts due for such Custom Material as a separate line item.

  • After reviewing an RFP issued to the Vendor from the Owner for such Custom Material, the Vendor will respond to the Owner within twenty (20) Business Days, unless otherwise agreed by the Parties, stating the terms and conditions upon which the Vendor would be willing to undertake such development, including, but not limited to, a listing of specifications, custom development charges, planned license fees and a proposed delivery schedule.

  • Notwithstanding the termination rights specified elsewhere in this Agreement, Media Company’s failure to provide Custom Material which complies with the Specifications constitutes a material breach which if not remedied entitles Agency (on behalf of Advertiser) to terminate this Agreement for cause, pursuant to Section V of the Terms.

  • This Exhibit 6 sets out the additional terms governing Media Company’s development of Custom Material for publication and delivery by Media Company as part of the Campaign unless to the extent the parties have signed a separate custom content addendum referring to the IO / Campaign.

  • No license or right is granted to Seller, either expressly or by implication, estoppel or otherwise to use, execute, reproduce, display, perform, distribute copies of, or prepare derivative works based upon, any of such Custom Material either during or after the term of this Agreement, except that Seller is free to use its pre-existing materials in any manner, without restriction or any obligation to Buyer.

Custom Material means any software, firmware, hardware or document- ation modifications or enhancements made by Seller in response to Buyer initiated Engineering Changes.

Related to Custom Material

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Licensed Material means radioactive material received, possessed, used, transferred or disposed of under a general or specific license issued by the Agency.

  • Custom Products Products, preliminary, final or otherwise, which are created or developed by Contractor, its subcontractors, partners, employees, resellers or agents for the District under the contract.
