Custom Material definition

Custom Material has the meaning ascribed thereto in subsection 11.9.1.
Custom Material means any modifications or enhancements to Products made by Seller that are funded by Buyer.
Custom Material shall have the meaning ascribed in Section 9.3 herein.

Examples of Custom Material in a sentence

  • Such summary will provide a description of any proposed Custom Material sufficient to enable the Vendor to determine the general demand for, and its plans, if any, to develop the same or similar Products.

  • If the Owner has a requirement for Custom Material that is a specific enhancement or modification of a previously licensed feature or of previously purchased Products, the Owner will identify to the Vendor in writing a summary of any such proposed development of Custom Material.

  • The Vendor will respond to such summary within thirty (30) days after receipt thereof and indicate if it has the ability to fulfill a subsequent Request for Proposal ("RFP") from the Owner for such development of Custom Material.

  • After reviewing an RFP issued for such Custom Material, the Vendor will respond to the Owner within thirty (30) days, unless otherwise agreed by the Parties, stating the terms and conditions upon which the Vendor would be willing to undertake such development, including, but not limited to, a listing of specifications, custom development charges, planned license fees and a proposed delivery schedule.

  • Title and full ownership of any Custom Material, whether patentable or otherwise, shall vest in Airline.

  • Any inventions, improvements, developments, processes or methods, computer programs, or enhancements that are made, invented, or developed by Airline to the Airline-Specific Software or any customizations to the Orbitz Software that are developed by Orbitz for Airline and expressly agreed by the parties to be custom for Airline under a separate Change Request pursuant to Section 7, shall be deemed to be "Custom Material".

  • To the extent that any of the items may not, by operation of law, be works made for hire, Seller hereby assigns to Buyer the ownership of copyright in such Custom Material and Buyer shall have the right to obtain and hold in its own name copyrights, registrations and similar protection which may be available in such Custom Material.

  • The Vendor will respond to such summary within twenty (20) Business Days after receipt thereof and indicate if it has the ability to fulfill a subsequent Request for Proposal ("RFP") from the Owner for such development of Custom Material.

  • Seller shall promptly make a complete written disclosure to Buyer of each Invention arising out of Custom Material work, and Buyer and Seller shall each promptly make a complete written disclosure to the other of each joint Invention, in any case, specifically pointing out the features or concepts which Seller or Buyer believes to be new or different.

  • All of the Custom Material prepared specifically for Buyer under this Agreement shall belong exclusively to Buyer and shall be deemed to be works made for hire.


More Definitions of Custom Material

Custom Material means any software, firmware, hardware or document- ation modifications or enhancements made by Seller in response to Buyer initiated Engineering Changes.
Custom Material means any Components that are purchased or manufactured parts that are not industry standard parts or purchased or developed by Flextronics specifically to meet Product Requirements.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Background Material means any pre-existing works in which the Intellectual Property Rights are owned by either Party, which have been prepared by that Party outside the scope of this Agreement or which were licensed from a third party by that Party.”

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Contract Material means all material created or required to be developed or created as part of, or for the purpose of performing, the Services, including documents, equipment, information and data stored by any means.

  • Client Materials means [all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services];

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Third Party Material means software, software development tools, methodologies, ideas, methods, processes, concepts and techniques owned by, or licensed to a third party and used by the Service Provider in the performance of the Services;

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Services;

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.
