Custom Goods definition

Custom Goods means Goods which are either:
Custom Goods means any Goods that are manufactured pursuant to Specifications provided by Buyer or agreed to by the Parties.
Custom Goods means Goods which are either (i) Standard Goods which are to be modified, customized or refurbished in accordance with an applicable Specification; or (ii) Goods which are to be designed and/or manufactured in accordance with an agreed Specification.

  • Crow Works strongly recommends that you test all Custom Goods using a Nationally Recognized Testing Laboratory (NRTL) such as Intertek ETL, Underwriters Laboratories, Inc.

  • Such Custom Goods and any and all related data, drawings, documents, and specifications will be considered and protected by Seller as "Buyer Information" as set forth in Paragraph 19 hereunder.

  • Seller will not accept an order for Custom Goods unless Seller has issued a Proposal for those Custom Goods.

  • At Buyer's request, Seller agrees to execute such additional documents as may be required by Buyer to confirm the provisions of this Paragraph including legal title in and to the Custom Goods.

  • Except for any Seller Intellectual Property, Seller shall not retain any rights to the Custom Goods, in whole or in part.

  • For Orders for Custom Goods terminated within Lead Time – Buyer will reimburse Seller for Seller’s actual expenses incurred which can be supported with documentation reasonably satisfactory to Buyer, but in any event no greater than the Contract Price.

  • Custom Goods made to ▇▇▇▇▇’s specifications will not be accepted for return.


More Definitions of Custom Goods

Custom Goods means any Goods which are made, processed or ordered according to your unique specifications, or which are otherwise notified to you as being Custom Goods in the Quote;
Custom Goods are Goods that are manufactured specifically to meet the unique specifications or requirements provided by the Purchaser as set out in this Order. These Goods are not standard products meaning they cannot be readily sold to other parties.
Custom Goods means any Goods specifically made in response to Customer’s design requirements and supplied under this Agreement that are not offered for general commercial sale by Illumina, including, without limitation, [*], Discontinued Consumables that are not replaced by Substitute Consumables or new, repackaged or reconfigured Consumables. For the avoidance of doubt, Goods may be Custom Goods regardless of whether they are offered for sale to one or more parties other than Customer. “Customer” is defined in the introductory paragraph of this Agreement.

Custom Goods shall include only those Goods which Supplier specifically designates as such in its quote to Buyer, and “Standard Goods” shall include all other Goods. Upon receipt of ▇▇▇▇▇’s notice of termination, Supplier shall immediately cease work, terminate any subcontracts, and deliver to Buyer all completed and partially completed Goods, raw material, and work-in-process, or otherwise dispose of such Goods, raw material, and work in process in accordance with Buyer’s instructions. In the event Buyer fails to give notice within the time period provided above, Buyer’s liability to Supplier shall be limited to: (i) the price provided on the face of the Purchase Order for all Goods which have been completed prior to termination and which are accepted by Buyer, if produced in no greater amounts than to satisfy the delivery schedule for such Goods; plus (ii) to the extent commercially reasonable and accepted by Buyer, the actual expenditures on the uncompleted portion of this Contract including cancellation charges paid by Supplier on account of commitments made under this Contract; provided that Supplier has immediately upon notice of termination taken all reasonable steps to mitigate the costs resulting from termination. Notwithstanding the foregoing, ▇▇▇▇▇’s liability shall not exceed the total price stated on the face of the Purchase Order for finished Goods delivered under this Contract. Supplier shall submit to Buyer, within ten (10) days of notification of the cancellation, any and all costs resulting from Buyer’s cancellation. Supplier shall not recover any cost submitted beyond that date.
Custom Goods means Goods identified in the applicable Order as being custom Goods.
