Custody Investments definition

Custody Investments means Financial Products, and any other type of assets, of which you are the owner, that a Nominee agrees to hold (or to have held by an Agent) on your behalf in accordance with this Client Agreement.
Custody Investments means any of the following of which you are the legal or beneficial owner and that Jarden may in accordance with your instructions or those of an Authorised Person from time to time hold on your behalf in accordance with this Agreement:
Custody Investments means those Investments that are required to be held in custody by the Depositary pursuant to Regulation 22(8)(a) of the Regulations.

Examples of Custody Investments in a sentence

  • If you are indebted to the Nominee in respect of Custody Investments, the Nominee may decline to re-deliver Custody Investments to you or another party as instructed by you until such debt has been discharged.

  • For the avoidance of doubt, this Client Agreement shall not be deemed to terminate solely as a result of any change in Custody Investments from time to time or because at any given time no Custody Investments are held by us.

  • You agree to appoint the Nominee to hold your Custody Investments as bare trustee and to provide you with Custodial Services in accordance with this Client Agreement.

  • In relation to Custody Investments any person who directly or indirectly has or shares voting or investment power.

  • Legal title to Custody Investments will be in the name of the Nominee or the Nominee’s Agent.

  • Custody Investments will be held by the Nominee or its Agent as bare trustee until we receive instructions from you either to sell Financial Products or to transfer Financial Products into your name or to a person nominated by you.

  • You shall bear all reasonable costs and risks of re-delivery of the Custody Investments to you or another party, if instructed by you, whether upon termination of Custodial Services, termination of this Client Agreement or otherwise.

  • The Nominee is entitled at any time and in its absolute discretion to appoint an Agent to hold any part of the Custody Investments.

  • In accordance with the NZX Participant Rules, the Nominee will record and hold Custody Investments in a separate portfolio in its books segregated from assets belonging to the Nominee.

  • Such re-delivery of Custody Investments will be made by transferring the legal ownership of Custody Investments to you or another party.


More Definitions of Custody Investments

Custody Investments and “Investments” means any of the following of which you are the legal or beneficial owner and that SSP may in accordance with your instructions or those of an Authorised Person from time to time hold on your behalf in accordance with this Appendix:
Custody Investments means those Investments (excluding cash) that are required to be held in custody by the Trustee pursuant to Regulation 22 (8)(a) of the AIFMD Regulations and Article 88 of the Delegated Regulation.

Related to Custody Investments

  • Authorized Investments means: any investment which may be authorized by the Commission but does not include restricted investments as specified in the Offering Documents from time to time.

  • Special Purpose Investment Personnel means each SEI Access Person who, in connection with his or her regular functions (including, where appropriate, attendance at Board meetings and other meetings at which the official business of a Trust or any Fund thereof is discussed or carried on), obtains contemporaneous information regarding the purchase or sale of a Security by a Fund. Special Purpose Investment Personnel shall occupy this status only with respect to those Securities as to which he or she obtains such contemporaneous information.

  • PIPE Investment has the meaning specified in the Recitals hereto.

  • Liquidity Account Investments means Deposit Securities or any other security or investment owned by the Fund that is rated not less than A3 by Moody’s, A- by Standard & Poor’s, A- by Fitch or an equivalent rating by any other NRSRO (or any such rating’s future equivalent) or if not rated, determined by the Adviser to be of comparable quality.

  • Eligible Investments mean book-entry securities, negotiable instruments or securities represented by instruments in bearer or registered form which evidence:

  • Mezzanine Investments means debt Securities (including convertible debt Securities (other than the “in-the-money” equity component thereof)) and Preferred Stock in each case (a) issued by public or private issuers, (b) issued without registration under the Securities Act, (c) not issued pursuant to Rule 144A under the Securities Act (or any successor provision thereunder), (d) that are not Cash Equivalents and (e) contractually subordinated in right of payment to other debt of the same issuer.

  • Investments as defined in Section 7.8.

  • Eligible Investment means any investment that at the time of its acquisition is one or more of the following:

  • Equity Investment means (i) an Equity Security; and (ii) an ownership interest in any company or other entity, any membership interest that includes a voting right in any company or other entity, any interest in real estate; and any investment or transaction which in substance falls into any of these categories even though it may be structured as some other form of investment or transaction.

  • Alternative Investments means investments in the said State which are within the ability and competence of the Company or of corporations which are related to the Company for the purposes of the Companies (Western Australia) Code and which are approved by the Minister from time to time as alternative investments for the purpose of this Agreement (which approval shall not be unreasonably withheld in the case of an investment which would add value or facilitate the addition of value, beyond mining, to the mineral resources of the said State); ”;

  • Permitted Investments means:

  • Acquisition Fund means any company formed with the intent to offer securities to the public and use the proceeds to consummate one or more Business Combinations which are unspecified at the time of the securities offering.

  • Principal Accumulation Investment Proceeds means, with respect to each Transfer Date, the investment earnings on funds in the Principal Accumulation Account (net of investment expenses and losses) for the period from and including the immediately preceding Transfer Date to but excluding such Transfer Date.

  • Minority Investment means any Person (other than a Subsidiary) in which the Borrower or any Restricted Subsidiary owns Capital Stock.
