Xxxxx, in each case, after reasonable inquiry of such person’s direct reports, and (ii) the members of the Special Committee (as defined below) solely in connection with such person’s service on the special committee of the Company’s Board of Directors (the “Board”) formed on or about July 15, 2018 (the “Special Committee”) and solely for purposes of the representations and warranties set forth in Section 3(s)(iii). Notwithstanding anything to the contrary, no person shall have any liability (personal or otherwise) as a result of their status within the definition of “knowledge.”
