Cura-Can has paid all Taxes due and payable, including all Taxes shown on Tax returns as being due and payable, and all Taxes payable under any assessment or reassessment.
In no event, regardless of the basis or cause, shall the aggregate liability of the Purchaser and Cura-Can to the Vendor under this Agreement exceed an aggregate amount equal to $4,500,000, being 50% of the Purchase Price that has been paid or is payable to the Vendor.
