Cumulative EBITDA Target definition

Cumulative EBITDA Target means, with respect to any fiscal year of the Company set forth on Annex I to this Agreement, the applicable amount set forth opposite such fiscal year on Annex I.
Cumulative EBITDA Target for a given period commencing on or after April 1, 2009, shall be as set forth in Appendix A of this Agreement, subject to the provisions of Section 6.6 hereof.
Cumulative EBITDA Target means, with respect to each fiscal year of the Company, an amount as determined by the Board in its sole discretion with respect to such year.

Examples of Cumulative EBITDA Target in a sentence

  • If the Company achieves more than 90% of the Cumulative EBITDA Target above, then a number of Missed Shares will become Vested Shares, determined on a straight line basis such that an additional 5% of the Missed Shares and 5% of the shares that are not Eligible Shares will become Vested Shares for each 1% that actual Cumulative EBITDA exceeds 90% of the Cumulative EBITDA Target.

  • If (x) the conditions set forth in clauses (a) and (b) above are met, and (y) the Company achieves 90% of the Cumulative EBITDA Target above for the Measurement Year completed immediately prior to the Change of Control, then 50% of the Missed Shares and 50% of the shares that are not Eligible Shares shall become Vested Shares.

  • If the Company achieves greater or lesser than 100% of the Cumulative EBITDA Target or the Average Return on Assets Target, the Performance Cash Award Amount will increase or decrease as set forth in the attached Exhibit A.

  • Unless earlier terminated pursuant to sub-clause (D) above, Options which have not vested in accordance with the provisions of sub-clauses (B), (C) or (D) above on or prior to the date that the Committee verifies whether the Cumulative EBITDA Target for fiscal year 2008 has been achieved shall terminate as of such date.

  • Provided that the Cumulative EBITDA for fiscal year 2008 is equal to, or in excess of, the Cumulative EBITDA Target for fiscal year 2008, fifty percent (50%) of the Options (the “Cumulative Target Options”) shall become vested and exercisable as of the date that the Committee verifies that the Cumulative EBITDA Target for fiscal year 2008 has been achieved.


More Definitions of Cumulative EBITDA Target

Cumulative EBITDA Target for a given period shall be as set forth in Exhibit A of this Agreement, subject to the provisions of Section 4.6.
Cumulative EBITDA Target as of a given date shall mean the total EBITDA Target from and after [ ] through such date.
Cumulative EBITDA Target means the Cumulative EBITDA Targets as set forth in Schedule A attached hereto.
Cumulative EBITDA Target for any given year shall be as set forth in Appendix B of this Agreement, subject to the provisions of Section 3.6.
Cumulative EBITDA Target for each of Fiscal 2018 and Fiscal 2019 shall be the amount set forth on Exhibit A, in each case, as may be adjusted pursuant to Section 1.8 hereof or Section 7.1(a) of the Plan (including, without limitation, any adjustments to reflect extraordinary or non-recurring events and/or the pro forma impact of any acquisitions or dispositions by the Company and/or any of its subsidiaries (including any acquisition or disposition of a minority interest)).
Cumulative EBITDA Target means the sum of the EBITDA ------------------------ Targets for each of the fiscal years of the Company ending December 31, 1997, 1998, 1999, 2000 and 2001 or, in the case of a determination of the Cumulative EBITDA Target prior to December 31, 2001 pursuant to Section 3(b) or 9(b) hereof, the sum of such EBITDA Targets for each of the Fiscal Years ending prior to such date of determination and a pro rata portion of the EBITDA Target for the Fiscal Year which includes such date of determination, pro-rated through the end of the most recent calendar quarter ending on or prior to such date of determination, as the same may be adjusted from time to time in accordance with this Agreement.
Cumulative EBITDA Target means the aggregate of the EBITDA Target for each Financial Period during the Adjustment Period.
