CSI Software definition

CSI Software any computer programs written by CSI or licensed to CSI for the purpose of delivering the Managed Services and/ or Services;
CSI Software means: (a) software or deliverables provided by CSI to End User that are reflected in an executed Statement of Work; (b) applicable Embedded Third Party Software; (c) CSI Modifications; and (d) any Enhancement to such software.

  • Maintenance and Support Fees become effective upon the Maintenance Agreement Effective Date with respect to the applicable CSI Software.

  • The Company shall advise all of Company's employees having a need to use the CSI Software Products on the Company's behalf, for the purposes contemplated by this Agreement, of the proprietary and confidential nature of the CSI Software Products and all of the Company's obligations hereunder with respect to the use and safeguarding of the CSI Software Products.

  • After the deployment of the CSI Software as set forth in the Statement of Work (and immediately following the successful completion of the associated Verification Procedures set forth in Section 5, the End User shall begin an operational use period to begin operation by the End User of the CSI Software (“Operational Use”).

  • If, during the CSI Software Warranty Period, there is a defect or non-conformity covered by the warranty in this Part D, Clause 6.2, Client’s sole remedy against CSI will be, at CSI’s option, to refund the purchase price paid by Client for any defective CSI Software, or to replace any defective media with software which substantially conforms to CSI’s applicable published specifications.

  • This indemnity does not apply to the extent that such a Claim is attributable to (i) modifications to the CSI Software made by the End User or at the request of the End User, (ii) integration of the CSI Software with any Third Person Software, (iii) any third party actions or modifications pursuant to the End User’s directions or instructions, or (iv) upon the unauthorized use of the CSI Software by the End User.

  • Consultant will not, without first obtaining CSI’s written consent, disclose to others for any purpose, or use (except for the benefit of CSI), CSI Software, CSI Trade Secrets, CSI Confidential Information except solely to integrate or interface certain Third Party Software (as defined in the MSA) with the CSI Software on behalf of Customer.

  • During the operational analysis of the CSI Software set forth in the Implementation Plan, the End User may, but is not required to, submit to CSI functional test scripts or other tests for each function to be delivered during the operational analysis, which test scripts and other tests shall be consistent with the Statement of Work and shall be used by the End User for purposes of verification testing.

  • In the event that the End User determines to utilize any Version Release, it shall be deemed part of the CSI Software for purposes of this Agreement.

  • Consultant understands and acknowledges that all CSI Software, CSI Trade Secrets or CSI Confidential Information to which Consultant may be given access has been developed or obtained by CSI through the investment of significant time, effort and expense, and that items are valuable, special, and unique asset of CSI which provides CSI with a significant competitive advantage and which need to be protected from improper disclosure and improper use.

  • Support services for Secunia products are provided for questions regarding installation, configuration and usage of Secunia CSI Software only.

Related to CSI Software

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Font Software means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all Subsets and bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Monotype in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.
