Subject to Acquirer’s obligation to pay a portion of the CS Fee as described below, all costs and expenses incurred by the Contributor Parties or the Propane Group Entities in connection with the Transaction Agreements and the transactions contemplated thereby, shall be paid by the Contributor Parties, and all costs and expenses incurred by Acquirer in connection with the Transaction Agreements and the transactions contemplated thereby shall be paid by Acquirer.
Acquirer shall reimburse ETP for one-half (1/2) of the CS Fee; provided, however, that Acquirer’s obligation with respect thereto shall not exceed $7,500,000.
The Tenant Upfit Budget shall be subject to the reasonable approval of both parties and shall include the CS Fee (defined below).
The total CS Fee due from Tenant shall equal the lesser of: (i) 5.0% of all hard costs incurred in the construction of the Tenant Upfit; and (ii) $250,000.00 (the "Cap").
Borrowers shall have paid the Fees required to be paid on the Closing Date in the respective amounts specified in Section 1.9 (including the Fees specified in the GE Fee Letter and the CS Fee Letter) and the fees agreed with the Lenders, and shall have reimbursed the Senior Agents for all fees, costs and expenses of closing presented as of the Closing Date.
If, despite reasonable efforts, the parties cannot agree on the Tenant Upfit Budget or all of the Bidders by the Budget Approval Deadline, either party, as its sole and exclusive remedy, may submit such dispute to binding arbitration as contemplated under Section 31.8. The Managing Agent shall receive a fee for its supervision of the construction of the Tenant Upfit (the "CS Fee").
