Definition of Crown Disclosure Schedule


Crown Disclosure Schedule means the schedule delivered by Crown to Parent simultaneously with the execution and delivery of this Agreement.

Except for filings with the SEC, filing the Articles of Merger with the Washington Secretary of States, filings provided under the HSR Act, and as set forth in Section 4.5 of the Crown Disclosure Schedule, no consents, approvals or authorizations of or filings with any Governmental Entity on the part of Crown are required for the validity of the execution and delivery by Crown of this Agreement or for Crown to perform its terms.
