CROSS INDEMNIFICATION definition

CROSS INDEMNIFICATION. Each party to this Agreement agrees to indemnify and hold the other party (the "non-breaching party") harmless against every loss, cost, damage or expense (including reasonable attorney's fees and expenses) incurred by the non-breaching party as a result of any breach by the other party of the terms of this Agreement or of any representation or warranty made by such party; provided the non-breaching party notifies the other party promptly after commencement of any action brought against it for which it may seek indemnity.
