CRO Property definition

CRO Property means [*]. All CRO Property is the sole and exclusive property of CRO, and will be CRO Confidential Information. Notwithstanding the foregoing, if CRO incorporates any CRO Property into any Project data or any other deliverable provided to CymaBay under a Statement of Work, CymaBay will have the right to use, and to grant others the right to use, such CRO Property solely in connection with its use and distribution of the deliverables.
CRO Property means inventions, processes, technology, know-how, trade secrets, improvements, and other assets (including, without limitation, those related to data collection processes, data management processes, laboratory analyses procedures and techniques, analytical methods, procedures and techniques, computer technical expertise and software (including codes)) that have been independently developed by CRO without the benefit of or any access to any information provided by or on behalf of CymaBay and that [*]. All CRO Property is the sole and exclusive property of CRO, and will be CRO Confidential Information. To the extent that any CRO Property is incorporated into any Project data or any other deliverable under a Work Order, or is needed for CymaBay to make full use of the Project data or any other such deliverable, CRO hereby grants to CymaBay a non-exclusive, perpetual, fully-paid up, transferrable, irrevocable, worldwide license to use such CRO Property in connection with the Project, the drug that is the subject of the Project, the Project data, any deliverables under the Work Order, or otherwise to make full use of the Project data or any deliverables under this Agreement.
CRO Property means inventions (including Inventions), processes, technology, know-how, trade secrets, improvements, other intellectual properties and other assets (including, without limitation, those related to data collection processes, data management processes, analytical methods, procedures and techniques, computer technical expertise and software (including SAS code and macros)) that have been or are developed by CRO and that do not relate to the composition of matter, method of using, making or administering the investigational drug or device that is the subject of a Work Order. All CRO Property, together with all intellectual property rights therein, is the sole and exclusive property of CRO, and shall be CRO Confidential Information.

  • All CRO Property is the sole and exclusive property of CRO, and will be CRO Confidential Information.

  • SPONSOR agrees that any CRO Property which is used, improved, modified or developed by CRO under or during the term of this Agreement shall be and remain the sole and exclusive property of CRO.

  • All CRO Property, together with all intellectual property rights therein, is the sole and exclusive property of CRO, and shall be CRO Confidential Information.

  • The obligations of the parties contained in Article 5 (Term and Termination), Article 6 (Data Protection Obligations), Article 7 (Sponsor Technology and CRO Property), Articles 8 (Confidentiality), Article 9 (Archiving), Article 10 (Use of Name), Article 11 (Audits), Article 13 (Indemnification), Article 14 (Limitation of Liability), and Article 21 (Binding Effect) shall survive the termination or expiration of this Agreement.

  • All Inventions, other than those that fall within the scope of CRO Property (as such term is defined in Section 6.C), (such inventions, “Sponsor Inventions”) shall be the sole and exclusive property of Sponsor and shall be Sponsor Confidential Information.
