Creations definition

Creations means all ideas, prospect and customer lists, inventions, research, plans for products or services, potential marketing and sales relationships, business development strategies, marketing plans, designs, logos, branding, layouts, templates, computer software (including, without limitation, source code), computer programs, original works of authorship, copyrightable expression, characters, know-how, trade secrets, information, data, developments, discoveries, improvements, modifications, technology, methodologies, algorithms and designs, whether or not subject to patent or copyright protection, made, conceived, expressed, developed, or actually or constructively reduced to practice by Executive solely or jointly with others to the extent relating to or otherwise in connection with Executive’s employment by the Company. Executive agrees to cooperate in all respects regarding requests by the Company relating to the Company’s intellectual property rights in the Creations, whether such cooperation is required during or after the termination of the employment period.
Creations means all ideas, potential marketing and sales relationships, inventions, copyrightable expression, research, plans for products or services, marketing plans, reports, strategies, processes, computer software (including, without limitation, source code), computer programs, original works of authorship, characters, know-how, trade secrets, information, data, developments, discoveries, improvements, modifications, technology, algorithms, database schema, designs and drawings, whether or not subject to patent or copyright protection, made, conceived, expressed, developed, or actually or constructively reduced to practice by you solely or jointly with others during your employment with the Corporation, which refer to, are suggested by, or result from any work which you may perform during your employment, or from any information obtained from the Corporation or any affiliate of the Corporation. 'Creations,' however, shall not include the general business planning concepts, strategies or processes, including, but not limited to, those utilized by you in any prior employment.
Creations means writings, works of authorship, recipes, formulas, ideas, concepts, inventions, discoveries, and improvements, whether patented, patentable or not and whether copyrighted, copyrightable, or not. Furthermore, as used herein, “Employment Creations” means any and all Creations created, prepared, produced, authored, amended, conceived or reduced to practice by Executive whether solely or in collaboration with others while he or she is employed by the Company that: (i) relate in any way to the Company’s business; or (ii) relate to the Company’s actual or contemplated business, research, or development; or (iii) result from any work performed by Executive for the Company. Executive acknowledges that, by reason of being employed by the Company at the relevant times, to the extent permitted by law, every copyrightable Employment Creation, regardless of whether copyright protection is sought or preserved by the Company, shall be a “work made for hire” as defined in 17 U.S.C. §101, and the Company shall own all rights in and to such Employment Creation throughout the world except to the extent such ownership is waived in writing by the Board. To the extent the preceding sentence does not apply, as of the Effective Date, Executive agrees to transfer and assign and hereby transfers and assigns to the Company (or its designee) all right, title, and interest of Executive in and to every Employment Creation. Executive further agrees to transfer and assign and hereby transfers and assigns to the Company all Creations created, prepared, produced, authored, amended, conceived or reduced to practice by Executive within one (1) year following Executive’s termination of employment with the Company (whether voluntary or otherwise), if the Creation is a result of Company’s Confidential Information obtained by Executive during Executive’s employment with the Company (collectively, “Post-Employment Creations”). Executive shall communicate promptly and disclose to the Company, in such form as the Company may request, all information, details, and data pertaining to each Employment Creation and each Post-Employment Creation. Nothing contained in this Agreement shall be construed to reduce or limit the Company’s rights, title, or interest in any Employment Creations or Post-Employment Creations so as to be less in any respect than that the Company would have had in the absence of this Agreement except to the extent such ownership is waived in writing by the Board. ​

Creations means all manuscripts, programs, writings, pictorial materials, and other creations created by the Employee, either individually or jointly, during the Employee's employment by the Company, and which relate to the business of the Company.

Creations means and includes any and all inventions, discoveries, improvements, creations, formulae, processes, methods, recipes, works or ideas, whether or not the same are patentable or copyrightable, that any employee of the Company has conceived or made or may conceive or make during any period of employment with the Company and that are in any way directly connected with Company or its business.
Creations shall not include (a) Technology expressly set forth on Schedule A, and (b) other Technology to the extent that any mandatory and non-waivable applicable law prohibits the assignment thereof as set forth herein (such Technology described in the foregoing subclauses (a) and (b) being the "Excluded Technology"). I acknowledge that I have read and understand the law(s) set forth in Appendix 1 hereto.
Creations means all intellectual productions created by X-REL Semiconductor or its Collaborators, regardless of the nature, medium or form. These creations shall include, but are not limited to, all Products, documents and manuals, tables, graphics, diagrams and software.

"Creations" shall not include (a) Technology expressly set forth on Schedule A, and (b) other Technology to the extent that any mandatory and non-waivable applicable law prohibits the assignment thereof as set forth herein (such Technology described in the foregoing subclauses (a) and (b) being the "Excluded Technology").
