Such commercial projects development is primarily either part of the specific malls project or complimentary to it, while the Demerged Undertaking is an independent residential real estate development project which is under development. Considering that IMIPL’s core business of building, construction, development, leasing and management of shopping malls requires extensive and intensive resources and focus and attention which currently gets divided with residential real estate development project. Thus, in order to achieve greater degree of focus and concentration of resources for the said core business, hiving off of the Demerged Undertaking works in the best interests of IMIPL and CPPL.
