Covered Participant definition
Covered Participant means a Participant who is a “covered employee” as defined in Section 162(m)(3) of the Code, and the regulations promulgated thereunder, or who the Committee believes will be such a covered employee for a Performance Period, and who the Committee believes will have remuneration in excess of $1,000,000 for the Performance Period, as provided in Section 162(m) of the Code.
Covered Participant means a Participant who is a “covered employee” as defined in Section 162(m)(3) of the Code, and the regulations promulgated thereunder, and any individual the Committee determines should be treated as such a covered employee.
Covered Participant means a Participant who is a “covered employee” under Code Section 162(m).
Examples of Covered Participant in a sentence
As additional consideration for the Merger, Purchaser shall pay to the Preferred Stockholders, the SAFE Holders and the Covered Participants the Aggregate Additional Payments on the terms set forth in this Section 2.5 (each such payment is referred to herein as an “Additional Payment”), in each case in an amount set forth opposite the name of each such Preferred Stockholder, SAFE Holder and Covered Participant on the Allocation Schedule.
At the Closing, each Covered Participant shall have the right to receive a portion of the Aggregate Merger Consideration pursuant to the terms of the Management Incentive Plan, as set forth opposite such Covered Participant’s name on the Allocation Schedule.
