Counterfeit Parts definition

Counterfeit Parts means a part, component, module, or assembly whose origin, material, source of manufacture, performance, or characteristics are misrepresented. This term includes, but is not limited to, (A) parts that have been (re)marked to disguise them or falsely represent the identity of the manufacturer, (B) defective parts and/or surplus material scrapped by the original manufacturer, and (C) previously used parts pulled or reclaimed and provided as “new”.

Parts shall not be acquired from independent distributors or brokers unless approved in advance in writing by Xxxxx. Seller shall immediately notify Buyer with the pertinent facts if Seller becomes aware or suspects that it has furnished Counterfeit Parts. When requested by Buyer, Seller shall provide OCM/OEM documentation that authenticates traceability of the affected Parts to the applicable OCM/OEM. The requirements set forth herein are in addition to any quality provision, specification, statement of work or other provision included in this Purchase Order addressing the authenticity of Parts. To the extent such provisions conflict with this clause, this clause prevails. In the event that Counterfeit Parts are delivered under this Purchase Order, Seller shall, at its expense, promptly replace such Counterfeit Parts with genuine Parts conforming to the requirements of this Purchase Order.
