Counted Liabilities means (a) all Liabilities of Target and its Subsidiaries on a consolidated basis that are required to be set forth in the liabilities column of a balance sheet prepared in accordance with GAAP as of the Effective Time (including any that arise as a result of the Closing), excluding any deferred Tax Liabilities, plus without duplication (b) all of the following Liabilities (whether or not required to be set forth in the liabilities column of a balance sheet prepared in accordance with GAAP): (A) Termination Costs, (B) Unpaid Target Transaction Expenses, (C) the Tool Vendor Amount, (D) the SVB Payoff Amount, (E) the MMV Payoff Amount and (F) any Tax now or hereafter payable by Acquiror, Target, any Subsidiary of Target, or the Surviving Corporation in connection with the payment of the Carveout Amount or the Termination Costs (except that Counted Liabilities shall not include the Federal Insurance Contributions Act Tax payable by Acquiror, Target, any Subsidiary of Target, or the Surviving Corporation with respect to (i) the $675,000 Contingent Bonus Pool Amount (as defined in the Carveout Plan) or (ii) the Transition Payment Amounts.
Counted Liabilities has the meaning set forth in Section 2.8.
Counted Liabilities means (a) all Liabilities of Target required to be set forth in the liabilities column of a balance sheet prepared in accordance with GAAP as of the Effective Time, plus (b) all of the following Liabilities (whether or not required to be set forth in the liabilities column of a balance sheet prepared in accordance with GAAP) to the extent incurred or accrued, but not paid by Target or its Subsidiaries, as of the Effective Time: (A) the Transition Payment Amount; (B) all Termination Costs; (C) all Target Transaction Expenses; (D) any off-balance sheet Liabilities of Target; and (E) any Liabilities of Target or the Surviving Corporation arising as a result of the Closing.

Counted Liabilities means, as of the Effective Time, without duplication, the sum of (A) all Liabilities of Target and its Subsidiaries on a consolidated basis required to be set forth in the liabilities column of a balance sheet prepared in accordance with GAAP that have not been paid when due, plus (B) any debt of Target and its Subsidiaries on a consolidated basis for borrowed money, plus (C) all Termination Costs, plus (D) all Unpaid Target Transaction Expenses, plus (E) any accounts receivable or other assets of Target converted into cash or cash equivalents outside the ordinary course of business prior to Closing.

  • Stated Liabilities means the recorded liabilities (including contingent liabilities that would be recorded in accordance with GAAP) of the Borrower and its Subsidiaries taken as a whole, as of the date hereof after giving effect to the consummation of the Transactions, determined in accordance with GAAP consistently applied.

With respect to a liability that relates to more than one asset, the amount of such Related Liability shall be allocated among such assets for the purpose of determining the Related Liability Amount with respect to any one of such assets. Such allocation shall be made by specific allocation, where determinable, and otherwise shall be pro rata based upon the dollar amount of such assets stated on the Accounting Records of the entity that owns such asset.

  • Intra-Group Liabilities means the Liabilities owed by any member of the Group to any of the Intra-Group Lenders.

The amount of any Contingent Liability shall (subject to any limitation set forth herein) be deemed to be the outstanding principal amount (or maximum permitted principal amount, if larger) of the indebtedness, obligation or other liability guaranteed or supported thereby.

  • Environmental Costs and Liabilities means any and all losses, liabilities, obligations, damages, fines, penalties, judgments, actions, claims, costs and expenses (including, without limitation, fees, disbursements and expenses of legal counsel, experts, engineers and consultants and the costs of investigation and feasibility studies and remedial activities) arising from or under any Environmental Law or order or contract with any Governmental Authority or any other Person.

  • Reinsured Liabilities means the General Account Liabilities and the Separate Account Liabilities.

  • Current Liabilities are all obligations and liabilities of Borrower to Bank, plus, without duplication, the aggregate amount of Borrower’s Total Liabilities that mature within one (1) year.
