Counsellors Service s duties hereunder will not devote their full time to such service and nothing contained in this Agreement shall be deemed to limit or restrict the right of Counsellors Service or any affiliate of Counsellors Service to engage in and devote time and attention to other businesses or to render services of whatever kind or nature. Counsellors Service with respect to the Warburg Pincus Tax Free Fund (the "Fund"), a portfolio of the Company, as follows:

Examples of Counsellors Service in a sentence

  • Payments by the Fund under this Plan shall not be made to a Service Organization with respect to services for which the Service Organization is otherwise compensated by Counsellors Securities, Warburg, Counsellors Service or any affiliate thereof.

  • Payments may be made to Service Organizations by Counsellors Securities, Warburg, Counsellors Service or any affiliate thereof from any such entity's own resources, which may include a fee it receives from the Fund.

  • Counsellors Securities, Warburg, Counsellors Service or any affiliate thereof may, from time to time, at their own expense, pay certain Fund transfer agent fees and expenses related to accounts of Customers of Service Organizations that have entered into Agreements.

  • Counsellors Service accepts this appointment and agrees to furnish the services for the compensation set forth below.

  • Counsellors Securities, Warburg, Pincus Counsellors, Inc., the Fund's investment adviser ("Warburg"), Counsellors Funds Service, Inc., the Fund's co-administrator ("Counsellors Service"), or any affiliate of any of the foregoing may, from time to time, make payments to Service Organizations for providing distribution, administrative, accounting and/or other services with respect to holders of Advisor Shares.

  • The Fund understands that Counsellors Service now acts, will continue to act and may act in the future as administrator, co-administrator or administrative services agent to one or more other investment companies, and the Fund has no objection to Counsellors Service's so acting.

  • As of 31 December 1988, there were nine cases pending before the Centre.

  • Counsellors Service will bear all expenses in connection with the performance of its services under this Agreement; provided, however, that the Fund will reimburse Counsellors Service for the out-of-pocket expenses incurred by it on behalf of the Fund.

  • Counsellors Service shall exercise its best judgment in rendering the services listed in paragraph 2 above.

  • Police Service ’ means the South African Police Service established in terms of section 5(1) of the South African Police Service Act;

  • Supervisory employee means an employee, regardless of job description, having authority in the interest of the employer to hire, transfer, suspend, lay off, recall, promote, discharge, assign, reward, or discipline other employees, or the responsibility to assign work to and direct them, or to adjust their grievances, or effectively recommend that action, if, in connection with the foregoing functions, the exercise of that authority is not of a merely routine or clerical nature, but requires the use of independent judgment.

  • Cloud Service means any distinct, subscription-based, hosted, supported and operated on-demand solution provided by SAP under an Order Form.

  • Ambulance service means an entity, its personnel and equipment including, but not limited to, automobiles, airplanes, boats or helicopters, which are licensed to provide Emergency medical and Ambulance services in the state in which the services are rendered.

  • Service Session means a sequence of support activities and tasks carried out remotely to collect further information by interview or by analysis of a Production System resulting in a list of recommendations. A Service Session could run manually, as a self-service or fully automated.

  • 911 Service means a universal telephone number which gives the public direct access to the Public Safety Answering Point (“PSAP”). Basic 911 service collects 911 calls from one or more local exchange switches that serve a geographic area. The calls are then sent to the correct authority designated to receive such calls.

  • Commercial Service means service to Customers engaged primarily in the sale of goods or services including institutions and local, sate and federal government agencies for uses other than those involving manufacturing or electric power generation.

  • Fire Service means any deployment of firefighting personnel and/or equipment to extinguish a fire or perform any preventative measure in an effort to protect equipment, life, or property in an area threatened by fire. It also includes the deployment of firefighting personnel and/or equipment to provide fire suppression, rescue, extrication, and any other services related to fire and rescue as may occasionally occur.

  • Access Service means access to a local exchange network for the purpose of enabling a provider to originate or terminate telecommunication services within the local exchange. Except for end-user common line services, access service does not include access service to a person who is not a provider.

  • payment initiation service means a service to initiate a payment order at the request of the payment service user with respect to a payment account held at another payment service provider;

  • Termination of Services means Participant’s Termination of Consultancy, Termination of Directorship or Termination of Employment, as applicable.

  • Vesting Service of an employee means the period or periods of service credited to him under the provisions of Article II for purposes of determining his vested interest in his Employer Contributions Sub-Account, if Employer Contributions are provided for under either Article VI or Article XXII.

A change in the capacity in which the Participant renders service to the Company or an Affiliate as an Employee, Consultant or Director or a change in the entity for which the Participant renders such service, provided that there is no interruption or termination of the Participant’s service with the Company or an Affiliate, will not terminate a Participant’s Continuous Service; provided, however, that if the Entity for which a Participant is rendering services ceases to qualify as an Affiliate, as determined by the Board, in its sole discretion, such Participant’s Continuous Service will be considered to have terminated on the date such Entity ceases to qualify as an Affiliate. To the extent permitted by law, the Board or the chief executive officer of the Company, in that party’s sole discretion, may determine whether Continuous Service will be considered interrupted in the case of (i) any leave of absence approved by the Board or chief executive officer, including sick leave, military leave or any other personal leave, or (ii) transfers between the Company, an Affiliate, or their successors. Notwithstanding the foregoing, a leave of absence will be treated as Continuous Service for purposes of vesting in an Award only to such extent as may be provided in the Company’s leave of absence policy, in the written terms of any leave of absence agreement or policy applicable to the Participant, or as otherwise required by law.

  • Education service provider means an education management organization, school

  • Provider Service means a Provider’s hosted online services (if any) as described in the Solution Exhibit which is provided by Provider to Customers located in the Territory through remote access via the Internet as part of the BPO Service. A Provider Platform Application shall be considered a Provider Service.

  • Termination of Service means:

  • Self-service display means the open display or storage of Tobacco Products or Tobacco Paraphernalia in a manner that is physically accessible in any way to the general public without the assistance of the retailer or employee of the retailer and a direct person-to-person transfer between the purchaser and the retailer or employee of the retailer. A vending machine is a form of Self-Service Display.

  • Payment Initiation Service Provider or “PISP” means an authorised third party provider which provides a service that allows that third party to pass payment instructions to us on your behalf in relation to your Account.
