Corresponding Former Employees means (i) with respect to Entertainment or the Entertainment Group, the Former Entertainment Employees, (ii) with respect to International or the International Group, the Former International Employees, (iii) with respect to Movie or the Movie Group, the Former Movie Employees, (iv) with respect to Production or the Production Group, the Former Production Employees, (v) with respect to Propinquity or the Propinquity Group, the Former Propinquity Employees, and (vi) with respect to STV or the STV Group, the Former STV Employees.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Transferring Former Supplier Employees in relation to a Former Supplier, those employees of the Former Supplier to whom the Employment Regulations will apply on the Relevant Transfer Date; and

  • Welfare Plans shall have the meaning set forth in Section 3.2.4.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Excluded Employees has the meaning set forth in Section 2.5(a)(iv).

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Servicer Employees As defined in Section 2.12.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Transferring Supplier Employees means those employees of the Supplier and/or the Supplier’s Sub-Contractors to whom the Employment Regulations will apply on the Service Transfer Date.

  • RemainCo shall have the meaning set forth in the Preamble.

  • Seller 401(k) Plan shall have the meaning set forth in Section 6.01(i).

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.
