Corporate Event definition

Corporate Event shall have the meaning specified in Section 14.01(b)(iii).
Corporate Event means, as determined by the Administrator in its sole discretion, any transaction or event described in Section 4.3(a) or any unusual or nonrecurring transaction or event affecting the Company, any Subsidiary of the Company, or the financial statements of the Company or any of its Subsidiaries, or changes in applicable laws, regulations or accounting principles (including, without limitation, a recapitalization of the Company).
Corporate Event means an event described in Section 14.1.

Examples of Corporate Event in a sentence

  • Any Corporate Event Consideration included in the Rights, if any, pursuant to this Section 6(b) is pari passu with the Corporate Event Consideration to be paid to holders of shares of Common Stock and the Company shall not permit a payment of any Corporate Event Consideration to the holders of shares of Common Stock without on or prior to such time delivering the Right to the Holders in accordance herewith.

  • Payment of such amounts or delivery of the Rights, as applicable, shall be made by the Company (or at the Company’s direction) to each Holder on the later of (x) the second (2nd) Trading Day after the date of such request and (y) the date of consummation of such Change of Control (or, with respect to any Right, if applicable, such later time that holders of shares of Common Stock are initially entitled to receive Corporate Event Consideration with respect to the shares of Common Stock of such holder).

  • If the Holder delivers a Repurchase Notice to the Company (or the Successor Entity), the Company (or the Successor Entity) shall purchase this Warrant from the Holder promptly and in no case later than the third (3rd) Business Day immediately following delivery of such Repurchase Notice by paying to the Holder, in cash, an amount equal to the Black Scholes Value of the remaining unexercised portion of this Warrant on the effective date of such Change of Control and/or Corporate Event, as the case may be.

  • To the extent necessary to effectuate the foregoing provisions, any successor to the Company or surviving entity in such Fundamental Transaction shall issue to the Holder a new warrant consistent with the foregoing provisions and evidencing the Holder’s right to exercise such warrant for the Corporate Event Consideration.

  • If the Company does not provide such notice by the Business Day immediately after such effective date, then the last day on which the Notes are convertible pursuant to this Section 14.01(b)(iii) as a result of such Corporate Event shall be extended by the number of Business Days from, and including, the Business Day after such effective date to, but excluding, the date on which the Company provides the notice.

Corporate Event means a company invested by the Client is undergoing insolvency, being suspended from trading or undertaking any major corporate restructuring, including but not limited to share buyback, corporate takeover, merger & acquisitions;
Corporate Event means, as determined by the Committee (or by the Board, in the case of Options granted to Independent Directors) in its sole discretion, any transaction or event described in Section 7.1(a) or any unusual or nonrecurring transaction or event affecting the Company, any Affiliate of the Company, or the financial statements of the Company or any Affiliate of the Company, including, but not limited to, the consummation of the Dex West Transaction, or any change in applicable laws, regulations, or accounting principles.
Corporate Event means an event arising from a decision of a directing body of an issuer which, according to Admiral Markets Cyprus Ltd’s estimate, may influence the rights and duties of an owner of Securities.
Corporate Event means (i) a merger or consolidation involving the Company in which the Company is not the surviving corporation; (ii) a merger or consolidation involving the Company in which the Company is the surviving corporation but the holders of shares of Stock receive securities of another corporation and/or other property, including cash; or (iii) the reorganization or liquidation of the Company.
Corporate Event shall have the meaning set forth in Section 6(b).
