Corporate Event definition

Corporate Event shall have the meaning specified in Section 14.01(b)(iii).
Corporate Event has the meaning contained in Section 3.4(b).
Corporate Event means a company invested by the Client is undergoing insolvency, being suspended from trading or undertaking any major corporate restructuring, including but not limited to share buyback, corporate takeover, merger & acquisitions;

Examples of Corporate Event in a sentence

  • The Company shall notify Holders, the Trustee, the Paying Agent (if other than the Trustee) and the Conversion Agent (if other than the Trustee) in writing of any Corporate Event and the corresponding right to convert the Notes no later than the Business Day following the effective date of such Corporate Event.

  • The Company shall notify in writing Holders, the Trustee and the Conversion Agent (if other than the Trustee) in writing as promptly as practicable following the effective date of such Corporate Event.


More Definitions of Corporate Event

Corporate Event means an event described in Section 14.1.
Corporate Event means, as determined by the Committee (or by the Board, in the case of Options granted to Independent Directors) in its sole discretion, any transaction or event described in Section 7.1(a) or any unusual or nonrecurring transaction or event affecting the Company, any Subsidiary of the Company, or the financial statements of the Company or any Subsidiary, or changes in applicable laws, regulations, or accounting principles.
Corporate Event shall have the meaning set forth in Section 6(b).
Corporate Event means the occurrence of any of the following in relation to the issuer of the Underlying Instrument to which the CFD directly or indirectly relates:
Corporate Event means (i) a merger or consolidation involving the Company in which the Company is not the surviving corporation; (ii) a merger or consolidation involving the Company in which the Company is the surviving corporation but the holders of shares of Stock receive securities of another corporation and/or other property, including cash; or (iii) the reorganization or liquidation of the Company.
Corporate Event means an event arising from a decision of a directing body of an issuer which, according to Admiral Markets Cyprus Ltd’s estimate, may influence the rights and duties of an owner of Securities.
Corporate Event means any one of the following: (A) any consolidation or merger of the Company in which the Company is not the continuing or surviving entity or pursuant to which shares of the Company’s common stock would be converted into cash, securities, or other property, other than any consolidation or merger of the Company in which the holders of the Company’s common stock immediately prior to the consolidation or merger have the same proportionate ownership of common stock of the surviving corporation immediately after the consolidation or merger; (B) any sale, lease, or other transfer of all, or substantially all, of the assets of the Company; or (C) the Company or its stockholders adopts any plan for the dissolution or liquidation of the Company.
