Core Earnings per Share means Employer’s Core Earnings for the Fiscal Year divided by the number of shares outstanding of Employer’s common stock at the end of such Fiscal Year on a fully diluted basis, as set forth in Employer’s audited financial statements for such Bonus Fiscal Year.
