Conveyance Expenses definition

Conveyance Expenses. With respect to any Property, the reasonable expenses of the applicable Borrower incurred in connection with the Conveyance of such Property for any of the following: (i) third party real estate commissions, (ii) the closing costs of the purchaser of such Property actually paid by the applicable Borrower and (iii) the applicable Borrower’s miscellaneous closings costs, including, but not limited to title, escrow and appraisal costs and expenses, in each case to the extent paid to a third party in an arm’s-length transaction.

  • The payment of the Conveyance Expenses and Restructuring Expenses due hereunder shall be delivered by Guarantor to Landlord at the time of the conveyance of the Consideration (time being of the essence), and shall be made in immediately available funds, provided that the Conveyance Expenses and Restructuring Expenses shall be payable only if Landlord has provided Tenant with reasonably satisfactory documentation with respect thereto.

  • In case of any delay beyond the time stipulated in the Notice of Possession by the Allottee to deposit the stamp duty, registration charges and other incidental and legal expenses (“Conveyance Expenses”) and execution of the Conveyance Deed, the Allottee shall be required to pay Holding Charges for the period reckoned from the due date of payment of such Conveyance Expenses up to the execution of the Conveyance Deed.
