In determining such Tax Cost in the case of any Contributor Related Party that holds its interest in Acquiror through one or more related entities treated as partnerships for federal income tax purposes and in making the determination set forth in the last proviso of Section 5.4(l) hereof, it shall be assumed that all such entities had in effect a valid election under Section 754 of the Code for all periods during which such Contributor Related Party held its interest in Acquiror.
