  • Contractual Entitlements or Contractual Bonus stated therein ("Total Compensation Package") providing such alterations to Base Salary and/or alterations to Contractual Entitlements and/or alterations in Contractual Bonus which have been mutually agreed by Executive and IKON and notified to Executive in writing by IKON.

  • Without prejudice to the generality of the foregoing this shall include any changes to the Base Salary, Contractual Entitlements or Contractual Bonus stated therein (“Total Compensation Package”) providing such alterations to Base Salary and/or alterations to Contractual Entitlements and/or alterations in Contractual Bonus which have been mutually agreed by Executive and IKON and notified to Executive in writing by IKON.

  • The Company and its Subsidiaries have created and maintained policies and procedures to protect the privacy of all protected health information, provide training to all employees and agents as required under HIPAA, and have implemented security procedures, including physical, technical and administrative safeguards, to protect all personal information and Protected Health Information stored or transmitted in electronic form.

  • Such payment will be without prejudice to the obligations of the Parties under Article 4 hereof and to Executive’s right to payment of accrued Base Salary, Contractual Bonus and other Contractual Entitlements (each of Base Salary, Contractual Bonus and other Contractual Entitlements as set out in Addendum A) in respect of the period to the date of termination.

  • Contractual Entitlements and Contractual Bonus pro rata the Further Period.

  • Such payment will be comprised of Executive's Base Salary, Contractual Entitlements and his Contractual Bonus as set out in Addendum A each pro-rata for the remaining period of notice on the basis that the Executive had actually served the remaining period of notice.

  • Once each year under this Agreement, Diamond shall permit Marvel and/or its authorized representative during normal business hours and upon reasonable advance written request at Diamond's principal office, to have access to such records, to examine them and to make copies of them solely for the purpose of verifying the Contractual Entitlements, provided that such review shall be conducted in such manner as to minimize any disruption or interference with Diamond's normal business operations.

  • TERMINATION On termination of the Term the liability of IKON under Articles 1.2.2, 1.2.3 and 4.2.1(1) in respect of the Fund (being part of the Contractual Entitlements) in respect of any period after termination shall be an amount equal to 13.3 per cent of the aggregate of Base Salary and a sum equal to the Contractual Bonus.

  • Diamond agrees to keep and maintain, at its executive offices, such full and accurate records (including books of account) as are reasonably necessary to determine rebates, discounts and other amounts which are contractually provided for hereunder, Diamond's provision of services hereunder and Diamond's performance with respect to the standards set forth in Exhibit B hereto (collectively, the "Contractual Entitlements").

  • Such payment will be without prejudice to the obligations of the Parties under Article 4 hereof and to Executive's right to payment of accrued Base Salary, Contractual Bonus and other Contractual Entitlements (each of Base Salary, Contractual Bonus and other Contractual entitlements as set out in Addendum A) in respect of the period to the date of termination.

Related to Contractual Entitlements

  • Extra Contractual Obligations shall be defined as those liabilities not covered under any other provision of this Contract and that arise from the handling of any claim on business covered hereunder, such liabilities arising because of, but not limited to, the following: failure by the Company to settle within the Policy limit, or by reason of alleged or actual negligence, fraud or bad faith in rejecting an offer of settlement or in the preparation of the defense or in the trial of any action against its insured or reinsured or in the preparation or prosecution of an appeal consequent upon such action.

  • Entitlements means, with respect to any Offering, the license and use types, limits, volume, or other measurement or conditions of permitted use for such Offering as set forth in the applicable Order or Supplemental Terms, including but not limited to any limits or restrictions on the number and categories of users authorized to use such Offering, permitted geographic areas, available storage space, computing power, or other attributes and metrics.

  • Contractual Services are defined as those specified services established within the OAG approved budget for which the Provider is to be paid upon completion at the set rate also established within the OAG approved budget, as authorized expenditures eligible for payment, or reimbursement pursuant to ARTICLE 9, AUTHORIZED EXPENDITURES, of this Agreement.

  • Contractual Service means the rendering by a contractor of its time and effort rather than the furnishing of specific commodities. The term applies only to those services rendered by individuals and firms who are independent contractors. Contractual Services do not include auditing services, Maintenance Services, or Professional Services as defined in Section 287.055(2)(a) of the Florida Statutes, and these Rules. Contractual Services also do not include any contract for the furnishing of labor or materials for the construction, renovation, repair, modification, or demolition of any facility, building, portion of building, utility, park, parking lot, or structure or other improvement to real property entered into pursuant to Chapter 255 of the Florida Statutes, and Rules 3.5 or 3.6.

  • M2M Entitlement means a Non-Monitoring RTO’s share of a M2M Flowgate’s total capability to be used for settlement purposes that is calculated pursuant to Section 6 of Schedule D to this Agreement.
