Examples of Contractor Intellectual Property in a sentence
In the event that Work Product is deemed Contractor’s Intellectual Property and not “work made for hire,” Contractor hereby grants to County an irrevocable, non-exclusive, perpetual, royalty-free license to use, reproduce, prepare derivative works based upon, distribute copies of, perform and display the Contractor Intellectual Property, and to authorize others to do the same on County’s behalf.
In the event that the contractor’s proposal or Standard Form Agreement does not permit audits of the State’s usage of Contractor Intellectual Property, Section 5.19 of this Supplement shall not be interpreted to provide such an audit right.
Contractor Intellectual Property includes COTS or Customized Software owned by the contractor, the contractor’s technical documentation, and derivative works and compilations of any Contractor Intellectual Property.
For the avoidance of doubt, Work Product shall not be deemed to include Contractor Intellectual Property, provided the State shall be granted an irrevocable, perpetual, non- exclusive royalty-free license to use any such Contractor Intellectual Property that is incorporated into Work Product.
Notwithstanding anything to the contrary in the preceding sentence, Work Product does not include State Intellectual Property, Contractor Intellectual Property or Third Party Intellectual Property.
