Contractor Confidential Information definition

Contractor Confidential Information means any information, which has been designated as confidential by either Party in writing or that ought reasonably to be considered as confidential however it is conveyed, including information that relates to the business, affairs, developments, trade secrets, know- how, personnel and suppliers of the Contractor, including IPRs, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential. CONTRACTOR Equipment means the hardware, computer and telecoms devices and equipment supplied by the CONTRACTOR or its Sub-Contractors (but not hired, leased or loaned from the CUSTOMER) for the provision of the Ordered IT Products.
Contractor Confidential Information means any Contractor information that is designated as confidential and/or exempt by Florida’s public records law, including information that constitutes a trade secret pursuant to Chapter 688, Florida Statutes, and is designated in this Agreement or in writing as a trade secret by Contractor (unless otherwise determined to be a public record by applicable Florida law). Notwithstanding the foregoing, Contractor Confidential Information does not include information that: (i) becomes public other than as a result of a disclosure by the County in breach of the Agreement; (ii) becomes available to the County on a non-confidential basis from a source other than Contractor, which is not prohibited from disclosing such information by obligation to Contractor; (iii) is known by the County prior to its receipt from Contractor without any obligation or confidentiality with respect thereto; or (iv) is developed by the County independently of any disclosures made by Contractor.
Contractor Confidential Information means Confidential Information proprietary to the Contractor.

More Definitions of Contractor Confidential Information

Contractor Confidential Information means information that is by its nature confidential, but does not include this Contract or information which is or becomes public knowledge other than by breach of this Contract or any other confidentiality obligation. Contractor Personnel: Means personnel either employed by the Contractor or Associates, engaged by the Contractor or Associates on a subcontract basis, including the Specified Personnel, or agents of the Contractor or Associates engaged in the provision of the Services.

CONTRACTOR Equipment means the hardware, computer and telecoms devices and equipment supplied by the CONTRACTOR or its Sub-Contractors (but not hired, leased or loaned from the CUSTOMER) for the provision of the Ordered IT Products.
Contractor Confidential Information means any technical or business information owned or controlled by the Contractor as at the date of this Contract which is not in the public domain and which derives independent economic value from not being in the public domain and which, at the time of disclosure to the Ministry by the Contractor is clearly marked or designated as confidential; "Contract Year" means a period of twelve (12) consecutive months within the term of this Contract, beginning on the Effective Date or any anniversary of it;

Contractor Confidential Information means information, whether presented orally or in writing, and whether or not marked as “confidential” or “proprietary,” including any formulae, plan, pattern, process, tool, mechanism, compound, procedure, production data, or compilation of information which is not patented, which is known only to the Contractor, and which gives the Contractor an opportunity to obtain business advantage over competitors which do not know it or use it. The State agrees that (a) it will use the Contractor Confidential Information only as may be necessary in the course of performing duties, receiving services or exercising rights under this Agreement; (b) it will provide at a minimum the same care to avoid disclosure or unauthorized use of Contractor Confidential Information as it provides to protect its own similar confidential and proprietary information; except as required by the Act, it will not disclose such information orally or in writing to any third party unless that third party is subject to a written confidentiality agreement that contains restrictions and safeguards at least as restrictive as those contained in this Agreement; (d) it will take all reasonable precautions to protect the Contractor’s Confidential Information; and (e) it will not otherwise appropriate such information to its own use or to the use of any other person or entity. Contractor shall affix an appropriate legend to Contractor Confidential Information that is provided under this Agreement to reflect the Contractor’s determination that any such information is Contractor Confidential Information, which means either it is marked as “confidential” or “proprietary” at time of delivery or for information that is disclosed orally or visually, it is designated “confidential” or “proprietary” at the time of disclosure. The Contractor agrees that such designation shall not prevent the State from complying with the Act.
Contractor Confidential Information means any CONTRACTOR information referenced in Section 8.2 or that constitutes a trade secret and is designated in this Agreement or in writing as a trade secret or as CONTRACTOR Confidential Information by CONTRACTOR.
