Contingent Purchase Price Obligations definition

Contingent Purchase Price Obligations means any earnout obligations or similar deferred or contingent purchase price obligations of the Borrower or any of its Subsidiaries incurred or created in connection with an Acquisition.

Contingent Purchase Price Obligations means, with respect to an Acquisition, all obligations of the Borrower or any Subsidiary to make earn out or similar deferred or contingent purchase price payments pursuant to the documentation relating to such Acquisition, not including any amounts payable in any form of Equity Interest. The amount of any Contingent Purchase Price Obligation shall be deemed to be the aggregate amount of all earn out payments of the Borrower and its Subsidiaries potentially due in connection with any Acquisition as set forth in the applicable definitive documentation with respect to such Acquisition.

(i) in an amount of up to $5,000,000 based upon the employment by the Borrower of certain former employees, officers, contractors or agents of LECG, Inc. within three (3) years of September 29, 2000 and (ii) in an amount of up to $5,000,000 based upon the retention by the Borrower of the employees, consultants or contractors of the Borrower within one (1) year of September 29, 2000, all as more particularly described in the Acquisition Agreement (as defined in the Existing Credit Agreement).
