More Definitions of Contingent Options

Contingent Options means the number of the Performance Vesting Options that would vest in the event the Relevant Equity Interests were sold for cash at the then current Fair Market Value at the time of the applicable event specified in Section 4.2(b)(ii)(1).

Notwithstanding the foregoing, all Options shall be forfeited in the event that Consultant shall fail to complete the Project (as defined in the Engagement Agreement) to the Company's reasonable satisfaction by February 29, 1999. The Exercise Prices shall be subject to adjustment as provided herein.
