Consulting Business definition

Consulting Business means, for purposes of this Agreement only, the management and information technology consulting business as conducted by Consulting or any of its Subsidiaries from time to time.

Consulting Business means the operation of a consultancy. Director means any person holding the position of Director of the Licensor and, where appropriate, includes an alternate director. Disciplinary Proceedings mean the disciplinary proceedings set out under clause 8.4 of the present Agreement Effective Date means [*].

Consulting Business means the business or businesses in respect of the Balance Sheets (as such business is conducted on the date hereof and on the Closing Date), subject to such acquisitions or disposals of businesses which have been contracted or completed (i) after December 31, 2001 and before the date hereof, which acquisitions or disposals are described on the supplementary schedules referred to in Section 5.3(a), or (ii) after the date hereof and prior to the Closing with the consent of PwCIL.

Licensor Materials means the tools, resources, manuals, standard precedent and template documents, promotional materials, consulting reports and presentations and other materials provided by the Licensor to the Licensee in connection with the operation of the Licensee's Consulting Business, including the materials listed in Schedule 2 as they may be amended, updated, supplemented or replaced by the Licensor from time to time, and all intellectual property rights in them. Materials means:

Consulting Business means the professional services business conducted by Seller in North America, and which includes, but is not limited to, the business conducted by Seller in which Seller (i) provides business and management consulting, systems integration and related IT services, as well as computer software, and application design and development services to its customers and clients, and (ii) licenses of technology, know-how and other Intellectual Property Rights.

Consulting Business means the business of developing or providing consulting packaged applications or custom developed consulting applications, including interactive e-commerce applications.

Consulting Business has the meaning set forth in the Non-Competition Agreement, but shall not include the Excluded Assets.

Consulting Business shall have the definition ascribed to such term in the Rollup Agreement.

Consulting Business shall have the meaning assigned to such term in the Rollup Agreement.
